Annual Returns, AGMs and Ongoing VCC Compliance

A VCC’s annual return, annual general meeting and tax return are different obligations. Completing one does not complete the others. The board should see a single calendar showing all three, with the secretary, administrator, auditor and tax adviser agreeing who supplies each input.
Work backwards from the financial year end
The usual AGM deadline is six months after the financial year end, unless the VCC validly uses an available route not to hold one. The annual return is due within seven months after year end. An AGM exemption does not remove the annual return obligation.
For a 31 December year end, the ordinary dates are 30 June for the AGM and 31 July for the annual return. Start the audit well before June. A filing reminder arriving in July is too late to organise missing valuation evidence.
If no AGM is planned
There are notice and financial-document requirements to satisfy. Do not simply omit the meeting because all investors receive monthly statements. Check ACRA’s current AGM instructions and the VCC’s constitution, and record the basis used.
Prepare the annual return pack
ACRA’s filing process requires company and sub-fund information, investment strategy details, AGM information and the relevant financial documents. Reconcile officer and manager information before filing; an annual return is not a substitute for making earlier required updates.
The annual return filing guide currently asks for financial statements in PDF format. See our accounts and filing guide before buying an unnecessary XBRL service.
Keep the evidence after submission
Retain the submitted documents, approval record, receipt and downloaded profile. Review the calendar whenever the financial year end changes or a new sub-fund launches. Tax filing and any incentive reporting still need their own completion checks.
