A VCC provider quote is only comparable with another quote when both cover the same work. Before signing, turn the proposal into a schedule of deliverables, assumptions and extra charges.

What starts the fee clock?

Check whether annual minimums begin on appointment, incorporation, first subscription or first investment. A delayed launch can leave the fund paying several providers before it has investment assets.

Ask whether unused months are refundable and whether fees increase automatically on renewal.

What makes the price change?

Common variables include investor numbers, transactions, sub-funds, share classes, valuation frequency and assets under management. Request worked examples at the expected launch size and at a larger size.

Ask which events cost extra: new investors, director changes, complex assets, revised documents, investor reports or tax enquiries. “Subject to complexity” needs a method for agreeing the charge before the work starts.

Who owns an omitted task?

Compare the manager, administrator, secretary and auditor proposals side by side. If two providers assume the other maintains a record or prepares a filing, the task may have no owner. Resolve the gap in writing.

Keep government charges separate. ACRA’s fee schedule lets you check those figures directly.

What happens when you leave?

Review notice periods, minimum terms, termination fees, data formats and the time allowed for handover. The fund should be able to obtain its own records and move to a replacement provider without avoidable disruption.

Before acceptance, ask each provider to confirm the final scope against a one-page fund specification. Keep that version with the signed agreement; a friendly sales email may not describe the binding service.
