A family VCC needs agreed rules for ownership and decision-making. The difficult discussions are often about withdrawals, unequal contributions and control, rather than incorporation itself.

Use the following agenda before asking counsel to draft the fund documents.

Who is the fund for?

Identify the participating family members, trusts or entities. Decide whether future generations, spouses or new family branches may join, and who approves them. Check how those decisions interact with existing estate and trust arrangements.

What can each participant take out?

Discuss notice periods, lock-ups and the treatment of a person who wants to leave while the portfolio is illiquid. Avoid a general promise of “flexibility” when the assets cannot be sold quickly.

If different branches need different portfolios, compare sub-funds. If they invest in the same assets on different terms, consider whether share classes are sufficient.

Who has authority over investments?

Distinguish the family’s objectives from the manager’s mandate and the board’s oversight. Establish how related-party investments and conflicts will be considered. A family consensus reached informally should not contradict the signed management arrangement.

What happens after a death or disagreement?

Plan for transfers, voting and valuation of an exiting interest. Check the interaction with succession documents in the relevant jurisdictions. The VCC should fit that plan, not be assumed to replace it.
