These are the questions an overseas founder should settle before treating a VCC proposal as ready for launch.

Can I own it without living in Singapore?

Foreign participation is possible, but ownership, local appointments and permission to work in Singapore are separate questions. Confirm the proposed board and filing arrangements against ACRA’s eligibility requirements.

Can my overseas investment firm manage it?

Do not assume an overseas licence is sufficient. Assess the firm’s Singapore regulatory position and identify the permissible VCC manager. See the foreign manager checklist.

Does registration let me advertise the fund?

No general marketing permission follows from incorporation. The investor category, offer structure and jurisdictions of promotion need their own assessment before materials are circulated.

Can investors withdraw whenever they want?

Only as provided by the fund’s terms and applicable requirements. Variable capital supports fund dealing arrangements; it does not guarantee liquidity. The redemption terms must fit the assets.

Does a sub-fund have its own company identity?

No. It is part of the umbrella VCC, with statutory segregation of assets and liabilities. Contracts and records must identify the relevant portfolio correctly.

Is the fund automatically tax-exempt?

No. Tax residence, income treatment and any incentive application need separate analysis. An investor may also have tax obligations outside Singapore.

What should I request before paying a formation deposit?

Ask for a written structure proposal, manager eligibility assessment, provider scope, launch timetable and first-year budget. Any unresolved assumption should be visible. A useful proposal explains who will do the work after registration, not only who will submit the application.
