Separate three different register purposes

ACRA’s post-registration guidance lists the member register, controller register and officer registers as separate ongoing records. The member register answers who holds shares in the VCC or relevant sub-fund. The controller register supports beneficial-ownership and financial-crime controls. Officer registers track directors, secretaries, managers and auditors. A person or entity may appear in more than one record, but that overlap is not permission to combine schemas, access rights, evidence or update processes.

Assign a maker-checker update workflow

Document the event that authorises each register change. A subscription should trace to acceptance and allotment evidence; a transfer should trace to the approved transfer record; a redemption should trace to the governing documents, accepted dealing instruction and completion evidence. One person prepares the entry and another checks identity, fund layer, class, quantity, amount and date. Where the administrator hosts the system, the secretary should still receive an auditable change report and retain responsibility for the corporate record process.

Reconcile across fund layers

For an umbrella VCC, reconciliation must work at more than the legal-entity total. Reconcile by umbrella, sub-fund and share class so that a correct aggregate cannot hide a wrong pool allocation. Compare opening balance, admitted subscriptions, transfers in and out, redemptions or cancellations, and closing balance. Investigate stale pending items, backdated corrections, duplicated investors and mismatched class codes. The register should also preserve former-member information and effective dates rather than overwriting history with the latest state.

Prepare for a valid inspection request

Section 82 is headed “Inspection of register”. The VCC Act restricts access rather than making the member list a general public search product, while providing routes for public authorities and other permitted persons. Create a request protocol that identifies the requester, legal basis, scope, delivery method, approver and disclosure record. Do not let an operations employee respond from memory or send a wider dataset than required. Route uncertain requests to Singapore counsel before disclosure.

Run the quarter-end health check

At each quarter end, sample recent subscriptions, transfers, redemptions and address changes back to their evidence. Reconcile register totals to the administrator and investigate differences before financial reporting or an investor statement cycle. Confirm that the location of the register remains accurate in the VCC’s filed information; ACRA lists a change in where the register and index are kept among the VCC information updates that must be reported within 14 days. Record exceptions with owners and due dates rather than silently carrying them.

Frequently asked questions

Is the VCC register of members publicly searchable?

ACRA describes VCC member lists as non-public, although public authorities may request access when needed. Section 82 governs inspection. Treat the record as restricted and use a documented request process; do not infer that confidentiality prevents every lawful disclosure or production requirement.

Can the fund administrator maintain the register?

The administrator can operate the recordkeeping system and supply dealing inputs, but the VCC still needs a controlled corporate record process. Define responsibilities in writing, require auditable change reports and ensure the company secretary or designated governance owner can independently produce and explain the current register.

Must an umbrella VCC identify the relevant sub-fund?

Yes. The statutory register fields include the sub-fund name and registration number, and the share class where applicable, for the shares held by each member. Reconcile at those layers so an accurate umbrella total cannot conceal an allocation to the wrong sub-fund or class.

Is the register of members the same as the register of controllers?

No. The member register records legal shareholdings. The controller register serves a separate beneficial-ownership and financial-crime purpose. The same person may appear in both, but the records have different tests, data, access considerations and update evidence and should not be merged.

What should trigger an out-of-cycle reconciliation?

Use an out-of-cycle check after a large dealing day, transfer, correction, class conversion, system migration, administrator transition or unexplained investor-statement difference. Reconcile the affected sub-fund and class first, then confirm that the consolidated umbrella balance remains consistent.
