Control VCC NAV Rounding Across Share Classes

Independent Singapore VCC guidance

By Variable Capital Companies Actworked scenario

Direct answer

A VCC should calculate NAV per share at full available precision, apply the approved dealing-price rule only at the defined stage, and preserve the unrounded value for review. Each share class needs a documented currency, decimal convention, rounding direction and residual treatment. Before release, reconcile the rounded price to subscriptions, redemptions, units or shares issued, investor statements and the fund ledger. A difference that cannot be explained by the approved convention should remain an open NAV exception rather than being posted to a balancing account.

At a glance

  • Separate calculation precision from the price displayed to investors.
  • Apply one approved convention consistently within each share class.
  • Keep the unrounded value and residual calculation in the NAV evidence pack.
  • Reconcile rounded dealing outputs before capital activity is finalised.

Who this is for

  • Open-ended or periodically dealing VCC share classes whose NAV per share is used for investor transactions or reporting.

Important exclusions

  • Exchange-traded market prices or product terms that require a separately documented pricing method.

Map every precision point before changing a rule

Rounding is not one calculation at the end of NAV. Asset prices, foreign-exchange rates, accruals, total NAV, class allocations, shares in issue and the dealing price can each carry different precision. The control owner should map where decimals enter, where they are retained and where they are deliberately reduced. A change made in the accounting platform may also alter transfer-agent dealing, investor statements or factsheet output. MAS guidance places valuation, reporting and control responsibilities within the fund manager operating framework, while its VCC governance circular emphasises effective oversight of delegated functions. The map therefore needs an owner on both sides of every administrator or transfer-agent interface.

Approve a convention for each share class

The documented convention should state the class currency, number of dealing decimals, mathematical rule, treatment of values exactly halfway between increments and ownership of any residual. It should also identify whether subscription and redemption calculations use the same price representation. Avoid copying a rule from another class simply because both sit in one sub-fund. A hedged class, accumulating class or class with a different denomination can produce different residual patterns. ACRA describes VCC shares as flexible instruments that may be issued and redeemed without shareholder approval, but that flexibility does not replace the manager and directors control over accurate, consistently applied class terms.

  • Record the class currency, dealing decimals and mathematical rounding method in controlled documentation.
  • Name the system field and processing stage where the dealing price is rounded.
  • Define whether subscriptions and redemptions use cash-driven or share-driven calculations.
  • Specify the residual account, ownership rule, investigation threshold and approval authority.
  • Confirm that offering, administration and transfer-agent documents describe a compatible method.

Work through the investor allocation before release

Consider a hypothetical class with an unrounded NAV per share of 10.123456 in its class currency. If the approved dealing price is 10.1235, a cash subscription divided by the displayed price may produce a different share quantity from a calculation performed with the unrounded price. The correct outcome is not universal; it depends on the controlled class terms and system design. The oversight task is to reproduce the administrator result using the approved sequence, identify the residual created by that sequence and show that the same rule was applied to every investor in the dealing cycle. Do not reverse-engineer a convention from the final number after orders have processed.

  1. RetainSave total NAV, class NAV and NAV per share before any display rounding is applied.
  2. ApplyRun the documented price rule once at the approved dealing stage for that class.
  3. AllocateCalculate investor cash or share quantities using the controlled dealing convention and order terms.
  4. ReconcileCompare aggregate investor activity, shares in issue, cash and the recorded rounding residual.
  5. Read backConfirm statements and published prices reproduce the released class result without extra rounding.

Investigate residuals instead of hiding them

A small residual can be an expected consequence of the approved convention, but its size alone does not prove that it is valid. Compare the actual residual with the expected result for the number and type of orders processed. Investigate sign changes, repeated round amounts, class concentrations and residuals that grow after a system release. Do not use a manual journal merely to force capital activity back to zero. The journal should describe the underlying event and link to the calculation. Residual ownership also matters in an umbrella structure because one sub-fund or class should not absorb another pools dealing difference without a documented basis.

Release only after downstream outputs agree

The final control should compare the approved dealing price with every downstream use. That includes order confirmations, transfer-agent registers, shares in issue, capital accounts, investor statements and any public price feed. The reviewer should also confirm that the canonical unrounded value remains available for later investigation. Where a mismatch is found, stop the affected output and identify the last trusted value rather than publishing one number and repairing another later. Trend the residual by class and dealing date. A stable pattern can support the convention; a change in pattern can reveal an upstream precision or configuration problem before it becomes a larger investor-allocation error.

Frequently asked questions

Should a VCC round total NAV before calculating NAV per share?

Usually the controlled design should retain full available precision through total and class NAV calculations, then apply the approved dealing-price rule at its documented stage. The exact sequence depends on the class terms and system configuration. The important control is that the sequence is explicit, consistently applied and independently reproducible.

Can different VCC share classes use different decimal places?

They can have different conventions when their controlled terms and operating design support them. The team should not assume that one umbrella-wide setting is suitable. Record the rule for each class, test interfaces separately and confirm that investors in the same class receive the same treatment for the same dealing cycle.

Where should a rounding residual be recorded?

Use the account and ownership treatment approved for the relevant class or sub-fund, supported by the governing documents and accounting policy. Do not route residuals to a convenient central account without evidence. The reconciliation should show how the amount arose, who owns it and whether a journal was required.

What indicates a rounding problem rather than a normal residual?

Warning signs include unexpected sign changes, concentration in one class, growing balances, differences after a system change, inconsistent results for similar orders or an inability to reperform the amount. Any unexplained difference should remain open and should block the affected dealing output until the cause is established.
