VCC Striking Off Tax Clearance: What IRAS Expects Before You File
Short answer: before a VCC is struck off, its tax affairs should be settled with IRAS. That means final returns filed, any tax paid and GST accounts closed. ACRA and the Registrar will not proceed smoothly if tax filings are outstanding, so a VCC striking off tax clearance review should come before the application, not after an objection.
Key facts at a glance
- The VCC, not each sub-fund, is the legal entity that is struck off or wound up.
- IRAS may object to a striking off application where tax returns or payments are outstanding.
- Final income tax filing, GST deregistration and any employer filings should be completed first.
- A fund that used section 13O or section 13U of the Income Tax Act 1947 should confirm its incentive reporting is up to date.
- CRS and FATCA registrations should be closed as part of the exit.
- A solvent winding up under the Companies Act 1967 and the Variable Capital Companies Act 2018 is the alternative where striking off is not suitable.

Why does IRAS matter when a VCC is being struck off?
ACRA circulates striking off applications to other agencies, and IRAS may raise an objection if it has unfiled returns or unpaid tax on record. An objection delays the process and sometimes forces the manager to file late returns under time pressure. Clearing the position first is cheaper and faster.
The check applies to the VCC as the single entity. For an umbrella, every sub-fund’s income is part of the VCC’s tax picture, so the review must cover all sub-funds, including any that were already closed.
Which tax filings should be complete before the application?
The list is short but each item must be confirmed against IRAS records, not memory.
| Area | What to confirm |
|---|---|
| Income tax | Estimated chargeable income and final Form C filed, with notices of assessment settled |
| GST | Final return filed, deregistration completed if registered, no unreconciled refunds |
| Fund incentive | Section 13O or 13U conditions and annual reporting up to date |
| Payroll and employer | Any employees’ tax and CPF filings closed |
| Information exchange | CRS and FATCA final reporting made and registrations closed |
What is the step-by-step process before striking off a VCC?
- Confirm all investors are redeemed or the sub-funds are terminated with a documented NAV.
- Pay creditors, including service providers, and settle accrued fees.
- Ask the tax adviser for a clearance checklist covering income tax, GST and incentive reporting.
- File the final returns and pay any balance.
- Close CRS and FATCA obligations. Our guide explains how to close CRS and FATCA registrations when a VCC winds down.
- Check the ACRA and MAS requirements, then file the striking off application.
- Watch the objection period and keep the registered office and contact details active until the VCC is dissolved.

When is winding up better than striking off?
Striking off is meant for companies with no assets, no liabilities and no pending matters. A VCC with residual assets, disputes or unresolved tax questions is better placed in a liquidation, where a liquidator deals with creditors and agencies in an orderly sequence. The Companies Act 1967 and the Variable Capital Companies Act 2018 together set the framework.
A members’ voluntary winding up also lets the liquidator obtain clearance from IRAS as part of the process. See the Singapore Secretary Services explainer on striking off and members’ voluntary winding up.
What are the common mistakes with VCC striking off tax clearance?
- Filing the striking off application before the final income tax return.
- Forgetting GST deregistration for a registered umbrella.
- Treating closed sub-funds as outside the VCC’s tax record.
- Overlooking incentive reporting after the final investor redemption.
- Letting the registered address lapse so IRAS or ACRA letters go unseen.
- Assuming a nil-activity year needs no filing.

Frequently asked questions
Can a VCC be struck off with a sub-fund still running?
The legal entity is the VCC, so all sub-funds should be terminated first. Otherwise winding up with a liquidator is the safer route.
Does IRAS issue a clearance letter?
IRAS may confirm that it has no objection through the process, but practice varies. Ask the tax adviser to confirm the current procedure.
What if a filing was missed years ago?
File it now and consider IRAS voluntary disclosure. A late filing is a smaller problem than an objection that blocks the strike off.
How long does the process take?
Timing depends on the objection period and agency responses. Allow several months from the final redemption.
