Independent Singapore VCC guidance
Direct answer
A useful letter of wishes explains the settlor’s priorities, family context and decision factors while leaving the trustee to act under the trust deed and governing law. Treat the letter as a controlled governance document: confirm its author and scope, compare it with the deed, identify conflicts or impossible requests, record how it informs each decision, and review it after material family or asset changes. Do not use a letter to rewrite the trust informally or direct unlicensed activity.
At a glance
- Keep binding trust terms and non-binding guidance in separate documents.
- Use decision principles and priorities instead of brittle predictions.
- Control authorship, delivery, version history, confidentiality and conflicts.
- Record why a trustee followed, adapted or did not follow a stated wish.
Who this is for
- Settlors, trustees and family-office teams preparing or administering guidance for a discretionary family trust.
Important exclusions
- Drafting legal instruments, overriding trustee duties or replacing advice on the trust deed and governing law.
Separate guidance from the trust instrument
Begin by identifying what the trust deed already decides and what remains within trustee discretion. The Ministry of Law describes the trustee as managing trust property and distributing income and capital for beneficiaries, and it recognises letters of wishes as records that may need to be retained. A letter should add context, values and priorities. It should not purport to amend the deed, appoint people through the wrong process or convert discretionary language into an inflexible command.

Build a decision-useful letter
Organise the letter around recurring decisions rather than a long family narrative. Explain the trust purpose, relevant people, education or health priorities, approach to enterprise ownership, expected family participation, philanthropy, liquidity and circumstances that justify flexibility. State which facts may become outdated. Avoid unexplained labels such as deserving, responsible or equal, because trustees need observable decision factors. Use hypothetical examples to clarify reasoning without presenting them as mandatory outcomes.
Sources: Ministry of Law · Monetary Authority of Singapore- Identify the trust and current settlor clearly, then state the purpose of the letter and its relationship to the trust deed.
- Describe beneficiary circumstances and priorities using facts the trustee can verify rather than assumptions about character or future behaviour.
- Explain how the family thinks about support, enterprise ownership, investment risk, education, health, philanthropy and exceptional hardship.
- State which advisers or family participants may provide information, while preserving the trustee decision process and confidentiality boundaries.
- Include review triggers and a statement that later valid versions replace earlier guidance only through the agreed delivery process.

Receive and validate each version
The trustee or authorised administrator should verify who supplied the letter, whether the settlor had capacity and whether any sign of pressure, fraud or conflicting instruction requires escalation. Log the received date, document date, delivery channel, version, superseded documents and access permissions. Compare the letter with the deed and existing decisions. If the family office keeps a convenience copy, it should not become the authoritative record merely because it is easier to find.

- CompareCheck the deed, prior wishes, protector powers, committee terms and current beneficiary facts for contradictions or outdated assumptions.
- ClassifyMark each point as usable context, a request for clarification, a possible conflict, a formal-action issue or a matter outside trustee scope.
- AcknowledgeRecord receipt and any limitations without promising that a future trustee decision will follow the stated preference.

Use the letter in trustee decisions
For each material decision, the trustee should start with the deed, governing law, relevant duties and current evidence, then consider the letter as context. The decision record need not disclose private family detail more widely than necessary, but it should show that relevant guidance was considered. Where the wish conflicts with beneficiary circumstances, law, tax, sanctions, investment policy or the trust purpose, obtain advice and record the reasoned response instead of silently ignoring the letter.
Sources: Singapore Statutes Online · Monetary Authority of Singapore- Wish aligns with the deed and current factsConsider it with the other relevant evidence and record the trustee decision under the ordinary approval process.
- Wish is unclear or facts changedSeek permissible clarification or independent evidence, while avoiding a promise to adopt the requested result.
- Wish conflicts with authority or dutyDo not treat the letter as an override. Escalate legal, tax, regulatory or fiduciary questions and document the resolution.
- Competing letters existAuthenticate versions, apply the agreed supersession process and preserve the conflict history for adviser review.
Review without rewriting history
Schedule review around meaningful events: births, deaths, marriage changes, incapacity, relocation, business sale, major liquidity event, trust migration, trustee change or a significant shift in beneficiary needs. A new letter should state what it replaces and why. Preserve prior versions because they may explain decisions made while they were current. The trustee should also review whether family-office staff, advisers and committees still have the right information access and whether any informal practice has drifted from the deed.

Frequently asked questions
Is a letter of wishes legally binding in Singapore?
Its effect depends on the trust and governing law, but it is generally used as guidance rather than a substitute for the deed. Obtain advice for the specific document.
Should the letter name exact payment amounts?
It can describe priorities or scenarios, but rigid figures may become unsuitable. Coordinate any specific request with the deed, liquidity, tax and trustee decision framework.
Can beneficiaries see the letter?
Confidentiality and disclosure depend on the trust, law and circumstances. Set access controls with the trustee and obtain advice rather than making a universal promise.
How often should a letter be updated?
Use event-driven review plus a sensible periodic check. Update when family, asset, residence, governance or trustee facts materially change, and preserve version history. Record the facts, approval and next action in the design a controlled workflow for receiving, reviewing and applying wishes file before anyone implements the answer.
Can the family office deliver instructions for the settlor?
Only within a clearly authorised process. The trustee should verify authorship and authority and should not let convenience communications become an informal amendment mechanism. Record the facts, approval and next action in the design a controlled workflow for receiving, reviewing and applying wishes file before anyone implements the answer.
