Independent Singapore VCC guidance
Direct answer
Review reserved powers by reading the trust deed, amendments, appointment instruments and governing law together, then mapping each investment, distribution, appointment, amendment and information decision to the person who may initiate, consent, decide and document it. Singapore law can recognise a trust despite certain powers being reserved, but that does not turn the settlor into the trustee or remove the trustee’s legal ownership and duties. Test conflicts, delegation, incapacity and successor routes. The family office should follow a written protocol and avoid informal instructions outside the deed.
At a glance
- The deed and governing law determine authority, not family custom.
- Reserved powers, protector consent and trustee discretion are different controls.
- Every power needs a conflict and incapacity route.
- Informal family-office direction can undermine a carefully drafted structure.
Who this is for
- Singapore-law family trusts reviewing how reserved and consent powers operate in practice.
Important exclusions
- A legal opinion on validity, tax residence, sham allegations or the exercise of a specific power.
Collect the complete authority record
Obtain the executed deed, every amendment, letter of wishes, protector or appointor instrument, trustee acceptance, delegation, investment mandate and relevant corporate resolutions. Confirm governing law, trustee residence and the assets actually held. Do not rely on a summary diagram prepared before later amendments. The trustee is the legal owner of trust property and administers it for beneficiaries under the trust terms. The authority review should preserve the signed source documents and identify any conflict, missing page, unsigned instrument or inconsistent role description before operational conclusions are drawn.

- List current trustees, protectors, appointors and power holders.
- Map the assets and ownership records to the trust.
- Collect delegations, mandates and appointment acceptances.
- Record unresolved document or governing-law questions.

Map each power by decision stage
For each material decision, record who may propose it, who receives information, who decides, whose consent is needed, who implements it and who can review or replace the decision maker. Separate a reserved investment power from a protector veto and from the trustee’s administrative execution. Include investment selection, distributions, beneficiary additions, trustee changes, adviser appointments, amendments, information release, borrowing and asset sales where relevant. If the deed is ambiguous, obtain trust-specific legal advice rather than converting past practice into authority.

|---|---|---|
| Investment action | Who directs, consents and verifies mandate fit? | Instruction, conflict check and trustee implementation. |
| Distribution | Who decides amount, timing and beneficiary treatment? | Request, discretion record and payment evidence. |
| Trustee or protector change | Who appoints, removes and accepts office? | Authority clause, notice and updated records. |
| Information release | Who is entitled and who approves disclosure? | Request, entitlement analysis and disclosure log. |

Keep trustee ownership and judgment visible
A reserved power does not justify treating the trust as the settlor’s personal account. The trustee should identify what remains within its authority and duties, what instruction it is bound or permitted to follow, and what action it may refuse or escalate. Record asset title, custody, execution, administration and beneficiary effects. The family office can prepare information and coordinate meetings without presenting itself as the decision maker unless properly appointed. Payments, contracts and portfolio changes should follow the mapped authority and trustee process rather than informal messages from a principal.

Test what happens if the settlor or another power holder loses capacity, dies, resigns, becomes conflicted or cannot be contacted. Review successor appointments, evidence of incapacity, interim authority, notice and acceptance requirements. Do not let the family office invent a temporary decision maker. Align the trust map with powers of attorney, corporate authority, custody mandates and provider records without assuming one document controls another. Rehearse an urgent investment or distribution decision with the power holder unavailable and record which steps can continue safely.

Operate a written family-office protocol
Turn the authority map into a short protocol for requests, papers, meetings, consent, instructions, minutes, conflicts and secure storage. Train family-office staff and service providers on who may speak for each role. Keep letters of wishes distinct from binding powers. Review the map after amendments, marriages, deaths, capacity changes, trustee replacement, new asset types or cross-border moves. The protocol should make escalation easier, not replace the deed. Sample decisions periodically to confirm that the actual signers, approvals, custody instructions and beneficiary communications match the mapped authority.
Sources: Ministry of Law · Singapore Statutes Online · Monetary Authority of Singapore- Use role-specific request and approval templates.
- Record advice, conflicts, consent and implementation separately.
- Restrict provider instructions to verified authority.
- Review the map after every role or document change.
- Sample completed decisions for consistency with the deed.

Frequently asked questions
Can a settlor reserve investment powers in Singapore?
Singapore legislation can recognise certain reserved investment or asset-management powers, but the actual effect depends on the deed, governing law and circumstances. Obtain trust-specific advice before exercising them.
Does a reserved power make the settlor the trustee?
Not automatically. The trustee remains the legal owner and has responsibilities under the trust. Map the reserved power precisely and keep trustee administration and judgment visible.
Is a protector consent right the same as a reserved power?
No. A protector may hold a consent, veto or appointment role, while another person holds the underlying decision power. The deed must be read for the specific action.
Can the family office send instructions to the bank?
Only through verified authority and provider mandates. Coordination or employment by the family does not by itself give the family office power over trust assets.
How often should reserved powers be reviewed?
Review after any deed amendment, role change, incapacity event, new asset class, family transition or cross-border move, and periodically test whether actual decisions match the authority map.
