VCC and 13O Tax Incentive Planning

Section 13O is a fund tax incentive to assess before launching a VCC, not a status obtained by incorporating one. The useful starting point is whether the proposed fund can satisfy the applicable conditions throughout its operation.
Establish which requirements apply to this applicant
Give the adviser the proposed ownership, manager, investment portfolio, staffing and spending plan. Family-office applications and other fund applications should not be assumed to follow an identical set of conditions. The application date and approval terms also matter.
Ask for a written eligibility schedule that identifies each condition, how it will be met and the evidence the fund will keep. Avoid relying on a threshold copied from an old presentation.
Match the incentive to the income
An approval should not be described to investors as an exemption for every receipt or transaction. Have the adviser identify the expected income streams, relevant investments and any income outside the intended exemption. Foreign withholding taxes and investor-level taxes need separate attention.
The IRAS VCC tax guide confirms that section 13O is among the incentives available for consideration for VCCs and directs applicants to MAS for the incentive requirements.
Build the annual evidence file from day one
Assign responsibility for monitoring the applicable investment, personnel, expenditure and reporting conditions. Keep the supporting records as the year progresses. Reconstructing them just before an annual declaration creates avoidable uncertainty.
Budget without assuming approval
Model the fund before the incentive takes effect and if the application is delayed. Confirm the requested and approved effective dates before moving assets or making promises to investors.
Before proceeding, the board should receive the eligibility assessment, full operating cost and a clear list of unresolved points. Compare 13U planning if advisers consider it an alternative for the proposed arrangement.
