Singapore VCC for Hedge Funds

For a hedge fund using a VCC, the key operating question is whether dealing terms match the portfolio’s liquidity and the providers’ ability to price and settle transactions. The company structure cannot resolve that mismatch on its own.
Test a difficult redemption day
Assume a large investor requests redemption while part of the portfolio cannot be sold at a reliable price. Who can apply a gate or suspension? What notice is required? Which valuation will be used?
The constitution, offering documents and administration procedures should produce the same answer. Investors need to understand the limits before subscribing.
Map the trading and custody arrangements
Identify prime brokers, custodians, banks and counterparties. Check collateral, leverage, margin calls and cash movements. The board needs reporting on concentrated counterparty exposure, not just a portfolio return figure.

Define pricing and error procedures
Record price sources, escalation thresholds and approval of overrides. Agree how a net asset value error is investigated, corrected and communicated. Performance fee calculations also need testing, especially where investors subscribe at different times.
Keep the regulatory questions separate
Confirm the permissible manager and the route for offering the fund to its intended investors. Incorporation is not permission to market without restrictions. ACRA’s VCC guide covers the vehicle; the manager and offering require their own assessment.
A useful launch rehearsal includes a subscription, trade, margin movement, valuation exception and redemption. Each should have an identified owner and an auditable record.
