VCC 13O Tax Incentive (Application and Conditions): Common Mistakes and Rejection Reasons

Short answer: The VCC 13O tax incentive is rejected or put at risk most often because the single family office fails a numeric MAS criterion: at least S$20 million in Designated Investments, at least 2 qualifying investment professionals (one not a family member), the tiered local spending test, or the capital deployment requirement. These must be met at application and throughout the incentive period.

Key facts at a glance

  • Section 13O requires a minimum of S$20 million in Designated Investments at application and throughout the incentive period.
  • The fund must employ at least 2 investment professionals, and at least 1 must not be a family member of the beneficial owners.
  • Each investment professional must earn more than S$3,500 a month, spend more than 50% of their time on the qualifying activity, and be a Singapore tax resident.
  • Tiered spending applies: S$200,000 of local business spending for AUM below S$50 million, rising to S$500,000 for S$50 million to under S$100 million and S$1 million for S$100 million or more.
  • The capital deployment requirement is the lower of S$10 million or 10% of AUM in specified eligible investments.
  • The fund must hold a private banking account with a MAS-licensed financial institution at application and throughout the incentive period.
  • Section 13O of the Income Tax Act 1947 provides the exemption, and MAS administers the award.

The VCC 13O tax incentive attracts a steady stream of applications from families who structure through a Variable Capital Company, but the criteria are tested as numbers, dates and evidence rather than intentions. This guide lists where applications and annual declarations go wrong, so you can fix the issue before it reaches MAS. For the full walkthrough, see our complete 2026 guide to the 13O incentive, and for the conditions themselves read Section 13O: VCC planning and compliance conditions.

What are the VCC 13O tax incentive conditions MAS tests?

MAS publishes the criteria for Section 13O and Section 13U together, and they differ mainly in size and headcount. The table shows the 13O column.

Criterion Section 13O requirement
Assets under management At least S$20 million in Designated Investments at application and throughout
Investment professionals At least 2, with at least 1 not a family member of the beneficial owners
Professional profile Relevant experience or qualifications; portfolio manager, research analyst or trader; earning more than S$3,500 a month; over 50% of time on qualifying activity; Singapore tax resident
Local spending Tiered by AUM, with at least S$200,000 in local business spending
Capital deployment Lower of S$10 million or 10% of AUM in eligible investments
Banking Private banking account with a MAS-licensed financial institution

What mistakes cause a 13O application to be rejected?

Counting assets that are not Designated Investments

The S$20 million threshold applies to Designated Investments, not to total family wealth. Operating businesses, personal property and uninvested cash held outside the fund do not automatically count. Build the AUM schedule from custody statements and map each line to the Designated Investments definition.

Weak investment professional evidence

Two professionals are required, and at least one must be non-family. Titles alone do not suffice. MAS expects the role to be that of a portfolio manager, research analyst or trader, with pay above S$3,500 a month and more than half of working time on qualifying activity. Contracts, job descriptions and payroll records should line up. Our guide on proving the Investment Professional role to MOM covers the work pass side.

Ignoring the tiered spending test

The spending test scales with AUM. A fund below S$50 million needs S$200,000 of local business spending, while larger funds need higher totals and a S$200,000 local business floor. Spending outside Singapore, or spending that is not business spending, does not meet the local floor. Eligible donations and certain blended finance grants can help for larger funds.

Miscounting capital deployment

The requirement is the lower of S$10 million or 10% of AUM in eligible investments such as shares, REITs, business trusts or ETFs listed on MAS-approved exchanges, qualifying debt securities, certain non-listed funds distributed by licensed Singapore institutions, non-listed Singapore operating companies, climate-related investments and qualifying blended finance. MAS recognises multipliers for some categories. Do not apply a multiplier to an investment that does not qualify.

No private banking account at the right date

The fund itself must hold the account, not only the family or the holding company. Open it before filing and keep it open throughout the incentive period.

What happens after the award?

The conditions continue after approval. Annual declarations must evidence the same tests, so a missed deadline or a headcount gap can threaten the award. Keep an evidence file all year, as described in building the annual evidence file for 13O and 13U. MAS has also tightened longer-term expectations, which we analyse in Section 13O and 13U after May 2026.

What is the step-by-step process to avoid rejection?

  1. Confirm the structure is a single family office fund and that the VCC is the right vehicle.
  2. Map every asset to Designated Investments and compute AUM at the application date.
  3. Hire and document at least 2 investment professionals, at least 1 non-family.
  4. Open the private banking account in the fund’s name.
  5. Plan local business spending for the first Year of Assessment against the correct tier.
  6. Deploy capital into eligible investments and keep custody evidence.
  7. Submit the preliminary submission, respond promptly to MAS queries, and then diarise annual declarations.

Which related compliance points are often missed?

Family offices that use a VCC also face AML/CFT and reporting duties. See VCC AML/CFT compliance after MAS Circular IID 04/2025 and CRS reporting for Singapore family offices. MAS also asks how wealth was generated; our note on source of wealth documentation explains the evidence. For VCC basics, the MAS explainer on the VCC, ACRA and IRAS are the official starting points.

Frequently asked questions

Can a multi-family office use Section 13O?

Section 13O is for funds managed by a single family office. A multi-family structure needs a different route, so confirm your fund category before applying.

Does the S$20 million have to be met only on the application date?

No. MAS requires the minimum Designated Investments at the point of application and throughout the incentive period.

Must both investment professionals be non-family members?

No. At least 1 of the 2 must not be a family member of the beneficial owners.

Can donations satisfy the spending test?

For funds in the higher AUM tiers, eligible donations to Singapore charities and certain blended finance grants can count towards the total, while the S$200,000 local business spending floor still applies.
