Plan Liquidity for a Family Trust Succession Event

Independent Singapore VCC guidance

By Variable Capital Companies Actdecision guide

Direct answer

A family trust succession liquidity plan should show what cash may be needed, when it may be needed, which entity owes it, who can authorise it and which assets can realistically provide it. Build a dated sources-and-uses map for family support, debt, business continuity, professional costs, tax and equalisation. Then test bank access, custody, currency, sale restrictions and trustee powers under adverse scenarios. The aim is not maximum idle cash. It is dependable liquidity without forcing the wrong asset sale or making an unauthorised distribution.

At a glance

  • Separate asset value from cash that can be accessed by the right person at the right time.
  • Map obligations to the trust, estate, company and individual that actually bears them.
  • Use several liquidity sources with documented conditions and decision authority.
  • Stress-test delay, dispute, market decline, currency mismatch and key-person incapacity.
  • Review fairness by family need and trust purpose, not only equal nominal amounts.

Who this is for

  • Families with a trust, holding company, operating business or investment structure that may face cash demands after death or incapacity.

Important exclusions

  • Personal insurance, investment, tax or legal advice, or a promise that trust assets are available for every estate obligation.

Map the event and every cash user

Define the event being planned for: death, incapacity, disappearance, trustee transition, director loss or a family dispute can produce different authority and timing. List each cash need with the entity that owes it and the evidence required to pay it. Family support, business payroll, debt service, professional advice, property carrying costs, tax, education and branch equalisation should not be combined into one round estimate. Trust funds are not automatically estate funds, and company cash is not automatically distributable family cash.

Measure liquidity by availability, not headline value

Classify each asset by legal owner, currency, custodian, sale process, settlement period, valuation uncertainty, security interest, tax friction and decision authority. A profitable private company, property or concentrated investment can be valuable and still be a poor emergency cash source. Bank deposits can also be unavailable if the authorised signatory is incapacitated or the account belongs to the wrong entity. Use a confidence range and access sequence instead of a single liquidity number.

  • Identify the legal owner and the person or body authorised to sell, borrow, redeem or transfer each asset after the trigger event.
  • Record currency, location, account, custodian, dealing frequency, settlement path, lock-up, security and expected decision time.
  • Estimate usable proceeds under normal, delayed and stressed conditions after transaction costs and prudent discounts.
  • Flag assets whose sale could damage family control, breach covenants, create unfairness or undermine the long-term trust purpose.
  • Confirm whether proceeds remain in the same entity that must make the intended payment or require another lawful step.

Design a layered liquidity stack

Combine sources that respond at different speeds. Operating cash may cover routine needs, a dedicated reserve may bridge an authority delay, a credit facility may support a temporary mismatch, insurance may fund a defined event, and planned asset sales may provide longer-term capital. Each source has conditions, counterparties, renewal risk and cost. The trustee and family office should know who can activate it, what evidence the bank or provider requires and how repayment affects later beneficiaries.

  1. Need arises immediatelyUse pre-authorised and accessible resources that belong to the correct payer, while documenting the basis for every trust or company payment.
  2. Need is predictable but laterSchedule redemptions, asset sales or refinancing with enough time for approvals, settlement, currency conversion and contingency.
  3. Need depends on disputed factsPreserve cash and obtain advice rather than paying one branch, creditor or claimant before authority and entitlement are clear.
  4. Long-term support exceeds the reserveRevisit investment policy, distribution principles and sustainable cash generation instead of treating the reserve as a permanent solution.

Set authority and fairness rules

A plan fails if everyone knows where the cash is but nobody can authorise it. Map trustee signatories, protector or committee consents, company directors, bank mandates, delegated limits and emergency contacts. Then define how urgency, need, beneficiary circumstances and the trust purpose are weighed. Equal amounts may be inappropriate when one branch needs education support and another controls liquid assets, but unexplained differences invite conflict. Record principles, evidence and conflict-management steps before the crisis.

  1. Confirm formal authorityRead the deed, mandates, company documents and provider terms, then remove assumptions about who can approve or sign.
  2. Define evidenceList the documents and facts needed for emergency support, debt payment, business funding, equalisation or a beneficiary distribution.
  3. Manage conflictsIdentify decision makers who may benefit, provide information or represent a family branch, and design independent review where appropriate.
  4. Communicate principlesExplain the process and limits without promising a specific future payment or disclosing confidential beneficiary information unnecessarily.

Stress-test a concentrated family business

Assume the trust holds a controlling company interest, modest cash and an investment portfolio. The principal becomes incapacitated during a market decline, a loan covenant tightens and two family branches request support. The company cannot simply fund personal needs, the investment portfolio has foreign-currency settlement, and a trustee decision needs independent information. The plan should preserve business cash, use the correct trust reserve, verify mandates, model a staged asset sale and document why any branch support is consistent with the deed and current evidence.

  1. First dayVerify the trigger, secure information access, confirm signatories, stop unsupported transfers and identify essential payments by legal payer.
  2. First weekUpdate cash forecasts, covenant and margin risks, available reserves, family support evidence and trustee decision materials.
  3. First monthImplement staged funding, asset sale or refinancing actions, monitor fairness and preserve options if the event becomes permanent.
  4. After stabilisationReplenish or redesign reserves, correct mandates, review investments and document lessons without rewriting the reasons for earlier decisions.

Maintain and rehearse the plan

Review the map when family members, trustees, directors, banks, custody, debt, residence, tax exposure or major assets change. A rehearsal should test evidence collection and decision timing without sending real payment instructions. Ask whether the trustee can retrieve the deed and wishes, whether banks recognise current signatories, whether the family office can distinguish trust, estate and company cash, and whether advisers can coordinate across countries. Record defects as owned actions with deadlines and independent closure evidence.

Frequently asked questions

How much cash should a family trust keep?

There is no universal amount. Model dated needs, access delays, asset volatility, currency, debt, family support and trustee authority, then set a layered reserve policy.

Can trust cash pay estate expenses?

Not automatically. The trust, estate and companies are distinct arrangements. Check ownership, deed powers, beneficiary interests and advice before paying another entity obligation. Record the facts, approval and next action in the build and test liquidity for a death or incapacity succession event file before anyone implements the answer.

Is life insurance enough for succession liquidity?

It can be one source, but policy ownership, beneficiaries, exclusions, timing, currency and claim evidence matter. Build alternatives for delay or a non-covered event. Record the facts, approval and next action in the build and test liquidity for a death or incapacity succession event file before anyone implements the answer.

Should every family branch receive equal cash?

The trust deed, purpose, beneficiary circumstances and trustee decision process govern. Nominal equality may differ from fairness, but differences need evidence and reasoned governance. Record the facts, approval and next action in the build and test liquidity for a death or incapacity succession event file before anyone implements the answer.

How can the plan be tested safely?

Run a document and decision rehearsal using hypothetical amounts and no real transfers. Test access, authority, timing, provider response, data quality and escalation. Record the facts, approval and next action in the build and test liquidity for a death or incapacity succession event file before anyone implements the answer.
