Independent Singapore VCC guidance
Direct answer
Oversee trustee delegation by mapping every agent, nominee, custodian, investment adviser, accountant and administrator to the precise function, authority, asset, instruction channel and retained trustee decision. Confirm the trust instrument and applicable law permit the arrangement, complete provider and conflict diligence, and approve a written mandate with service, reporting, confidentiality, incident and termination terms. Monitor outcomes rather than invoices alone. The trustee should review exceptions, concentration, complaints, asset records and performance, keep enough information to challenge the provider, and maintain a tested exit plan. Delegation of work should not become disappearance of trustee judgment or evidence.
At a glance
- Define the function before selecting the provider.
- Keep non-delegable and retained decisions visible.
- Monitor records, outcomes, conflicts and incidents together.
- Plan transition before a provider fails or resigns.
Who this is for
- Singapore trustees and private trust company boards using agents, nominees, custodians and professional service providers.
Important exclusions
- A legal opinion that a particular function may be delegated or a recommendation of any named provider.
Build a complete delegation register
List every external and group provider that acts for the trust, including custodians, banks, investment managers, nominees, property managers, company directors, administrators, accountants, tax advisers, lawyers and family-office support. For each, record the contracting party, trust or asset perimeter, function, decision authority, instruction method, source of power, start date, review date, fees, data access, subcontractors, conflicts and exit route. The Ministry of Law identifies service suppliers to a trust as information that trustees should obtain and maintain within the applicable transparency framework. A complete register makes hidden reliance visible. Do not omit an informal family adviser merely because there is no invoice, or treat a group company as low risk merely because ownership is familiar.

Separate delegation from retained decisions
Read the trust instrument and applicable legal framework to identify what the trustee may authorise an agent to perform and what decisions remain with the trustee. Administrative execution, custody and investment implementation can differ from decisions about distributions, appointments, fees, capital or changes to the trust. A provider mandate should not use broad language that quietly transfers judgment the trustee is expected to exercise. Create a responsibility map for proposing, deciding, consenting, implementing, checking and recording each material action. Include protector or committee roles without treating consent as the underlying decision. If authority is uncertain, obtain trust-specific legal advice before instruction. Past practice or a provider’s standard form does not create a power that the deed and law do not support.
Sources: Singapore Statutes Online · Ministry of Law- Execution taskDefine the approved decision and allow the provider to implement within clear parameters and evidence requirements.
- Advisory taskUse the analysis as input while preserving the trustee decision, conflicts review and reasons.
- Discretionary functionConfirm legal and deed authority, decision scope, monitoring arrangements and express limits before appointment.
- Retained trustee decisionKeep decision papers, minutes and instructions with the trustee rather than transferring them by mandate language.
Complete provider and conflict diligence
Diligence should match the function and risk. Verify legal identity, ownership, regulatory status where relevant, experience, financial resources, insurance, staffing, systems, cybersecurity, business continuity, complaints, litigation, sanctions controls, data location, subcontracting and record-access terms. For custody or nominee work, test asset title, segregation, reconciliation and transfer. For investment work, test mandate, risk limits, valuation, execution and reporting. Identify relationships with the settlor, beneficiaries, protector, family companies and other providers. A provider selected by a principal still needs trustee review. Record weaknesses, compensating controls and rejection reasons. Do not describe licensing, insurance or a clean sanctions search as proof that the provider is suitable for the particular trust function.

- Assess capability, staffing, systems and continuity.
- Map conflicts, related parties and subcontractors.
- Test data, asset and record-access arrangements.
- Approve conditions, compensating controls or rejection.
Write mandates that can be supervised
A workable mandate identifies the trust and assets, services, authority, restrictions, investment or service standards, permitted subcontracting, instruction channels, service levels, reporting, fees, expenses, data protection, confidentiality, audit access, complaints, incidents, liability, termination and handover. Align it with bank and custody mandates so providers do not receive conflicting instructions. Require records that allow the trustee to reconstruct transactions and decisions, not only a periodic performance total. Define which exceptions require advance consent and which require immediate notification. Preserve authority to limit, suspend or terminate when risks exceed tolerance. A mandate should also specify what happens to records, credentials, pending transactions, cash, assets and correspondence when personnel or the provider changes.

Monitor outcomes and warning signs
Set a review calendar based on asset, transaction and beneficiary risk. Monitor service accuracy, timeliness, exceptions, reconciliations, complaints, staff turnover, financial health, control reports, regulatory changes, conflicts, cyber events and repeated manual workarounds. Compare provider reports with independent custody, bank, accounting or legal records where possible. Sample transactions from instruction through execution and ledger. Challenge unexplained suspense balances, late statements, unreconciled assets, concentration in one individual and missing source documents. Escalate not only breaches but deterioration that may precede one. The trustee should understand enough to ask informed questions and should retain its own record of review, decisions, remediation and follow-up rather than relying solely on a provider’s assurance.

| Annual or risk-based | Diligence refresh, mandate fit and continuity | Renew, vary, limit or exit decision |
| Event-driven | Ownership, staff, regulator, breach or strategy change | Focused reassessment before continued reliance |

Prepare for incident, replacement and exit
Maintain current contacts, account authorities, asset lists, contract dates, data locations, credentials ownership, pending matters and successor requirements. Identify which services can pause and which need immediate continuity. Test how the trustee would obtain records and instruct banks if a relationship manager disappears, a provider system fails or termination becomes disputed. On an incident, protect assets and data, stop unsupported instructions, preserve evidence, assess affected beneficiaries and obtain specialist advice. On replacement, reconcile the full population before releasing the predecessor: assets, cash, tax lots, original documents, legal matters, correspondence, unresolved exceptions and system histories. Close authority and access after confirmed handover, then review root causes and strengthen the wider delegation framework.

Frequently asked questions
Does delegation remove the trustee’s responsibility?
Delegation can allocate authorised functions, but the trustee should retain the judgment, selection, instruction, monitoring and record responsibilities required by the trust instrument and applicable law. Obtain advice for the specific function.
Can a family office act as the trust administrator?
It may provide defined support if authority, licensing or exemption, conflicts, data, records and oversight are properly addressed. Family ownership or employment does not by itself establish the right to act.
How often should a provider be reviewed?
Use a risk-based cycle plus event-driven review. High-risk custody, investment, payment and data functions need closer monitoring, while ownership changes, incidents or staff departures can trigger immediate reassessment.
What should the trustee retain from a delegated service?
Retain the mandate, diligence, authority, instructions, source records, transactions, reconciliations, reports, exceptions, incidents, review decisions, remediation and exit evidence needed to reconstruct and supervise the service.
When should a provider be replaced?
Consider replacement when the service or risk cannot be restored within acceptable conditions, records or assets are unsafe, conflicts cannot be managed, authority is breached or reliable oversight is no longer possible.
