A VCC incorporation project has four distinct layers: the company, the investment manager, the investor offer and the operating system. Understanding those layers helps a founder avoid asking one provider to approve matters outside its role.

The company

ACRA registers the VCC and administers the corporate framework. The application needs the proposed structure, officers, manager information and constitution. ACRA’s registration guide sets out the filing requirements.

The registration certificate shows that the company exists. It does not establish that every planned investment or investor offer is permitted.

The manager

Identify the firm responsible for investment management and establish its eligibility for the mandate. Record any advisory or delegation arrangements accurately. The commercial sponsor and the legal fund manager may be different parties.

The investor offer

Determine who may invest and where the fund will be marketed. Offering documents must reflect the strategy, risks, fees and withdrawal terms, as well as the applicable regulatory route. Do not send a document intended for one investor category to a different audience without review.

The operating system

Banking, custody, administration, valuation, investor checks and reporting turn the documents into a functioning fund. Each needs an owner and a tested handover.

For example, a subscription is not complete merely because money reaches the bank. It must also be accepted under the fund’s terms and recorded correctly.
