Use the 2026 branch for current disposals

For disposals on or after 1 January 2026, the legislation and IRAS guide extend the eligible share concept to ordinary shares and qualifying preference shares, subject to the stated conditions. A qualifying preference share is not identified by its marketing label alone; the accounting treatment and investee facts matter. Keep the investee’s financial statements, share terms and accounting memorandum beside the legal register so the file explains why the instrument entered the selected branch.

Apply the VCC and sub-fund modifications

IRAS explains that where the disposing entity or investee is an umbrella VCC, the test is adapted to the sub-fund context. The current framework determines the threshold and resulting exemption as if the relevant VCC had only one sub-fund for this purpose. The same guide also states that the group-basis option available in the general company rule does not apply when the disposing company is a VCC. Keep each sub-fund’s ownership evidence separate and do not aggregate a sibling’s holding.

Prove the holding period and ownership level

The current rule uses a continuous 24-month holding period and a 20% ownership test in its specified alternatives. Build a daily or transaction-event bridge rather than relying on opening and closing snapshots. Include acquisitions, disposals, conversions, redemptions, reorganisations and changes in the investee’s capital. The conclusion should show the lowest relevant holding during the entire test period and explain how preference-share value was measured where that branch is used.

The conclusion memo should state the selected legislative branch, disposing fund or sub-fund, investee form, eligible share classes, ownership calculation, continuous period, excluded holdings, assumptions and unresolved advice points. Link every statement to the source register or workpaper. IRAS’s Form C guidance asks for specific information on gains from qualifying share disposals, so reconcile the memo to the tax computation, disposal ledger and financial-statement classification before filing.

Stop when one material fact is unresolved

Pause the conclusion if legal ownership differs from the portfolio system, the share class changed, preference-share accounting is unsettled, a sub-fund attribution is unclear, the holding history has gaps or another entity’s shares are needed to reach the threshold. Section 13W provides certainty only when its current conditions are supported. A disposal outside the test is not automatically taxable or exempt; it requires the ordinary tax analysis on its own facts.

Can a VCC include preference shares in a 2026 disposal test?

Potentially, where the current conditions for qualifying preference shares are met. The investee form and accounting treatment matter. IRAS states that shares in an investee VCC receive specific treatment, so do not apply the general company answer automatically.

Can two VCC sub-funds combine their shareholdings?

Do not assume so. IRAS’s VCC framework applies the test at the relevant sub-fund level and explains the VCC-specific modifications. Each disposing sub-fund should maintain its own ownership history and threshold calculation.

Does the general group-basis option apply to a disposing VCC?

IRAS’s current VCC framework states that the group-basis assessment for the ownership threshold does not apply when the disposing company is a VCC. Escalate any structure that depends on related-company holdings.

Is meeting Section 13W the same as proving every disposal gain is exempt?
