Independent Singapore VCC guidance

Direct answer

Build the replacement pack from verified operating records, not the incumbent manager's marketing description or a candidate questionnaire alone. Define the VCC, each sub-fund, mandates, investors, portfolios, delegations, service providers, systems, reporting, open issues and transition constraints on one common basis. Stage confidential information according to need and approval, require candidates to state assumptions and gaps, and reconcile every proposal to the same scope. The pack should support both selection and a later controlled handover without pre-appointing a bidder.

At a glance

  • Use verified VCC and sub-fund facts as the common bidder baseline.
  • Separate evaluation data from information released only after approval.
  • Expose dependencies, exceptions and manual processes as well as normal outputs.
  • Require each candidate to map regulatory status and capability to the mandate.
  • Design the pack so accepted data can seed the transition inventory.

Who this is for

  • VCC boards and sponsors running a planned or contingency process to identify a replacement fund manager.

Important exclusions

  • A licence opinion, appointment decision, emergency incident plan or authority to transfer investor and portfolio data.

Freeze the replacement scope

Start by stating why the process exists and which outcome is being assessed: replacement of the appointed manager, addition of another capability, contingency planning or a future transition. Name the exact VCC and every in-scope sub-fund, mandate and activity. Preserve the current governance and authority while the process runs. A bidder should not receive or exercise incumbent powers merely because it is evaluating the opportunity.

Assemble the common data pack

Build one indexed pack with a data owner and verification status for every item. Include the constitution and offering architecture, management agreement scope, mandate summaries, current portfolio and cash views, investor and dealing profile, provider map, delegations, systems, reporting calendar, compliance dependencies, open breaches or disputes, business-continuity arrangements and current change programme. Use redacted or aggregated data where it is sufficient for initial evaluation.

  • Entity map showing the VCC, sub-funds, classes, appointed roles and current manager legal entity.
  • Mandate schedule covering strategies, restrictions, decision rights, advisory or delegated arrangements and reporting.
  • Portfolio and liquidity summary with valuation sources, commitments, financing, concentration and unresolved exceptions.
  • Investor and dealing profile using approved aggregates, material rights, communication duties and operational peaks.
  • Provider and system inventory covering contracts, interfaces, data formats, access, reconciliations and recovery dependencies.
  • Governance calendar with board, committee, compliance, investor, financial and service-provider deliverables.
  • Open issue register including incidents, complaints, breaches, remediation, audits, disputes and decisions awaiting advice.
  • Transition constraints such as notice terms, data ownership, consent, confidentiality, parallel-run and key-person availability.

Label facts, estimates, candidate questions and unresolved matters separately. A pack that hides uncertainty invites incomparable proposals: one bidder prices a clean transfer while another assumes data remediation and parallel operation. If a material record cannot be verified, identify the gap, owner and consequence rather than filling it with an incumbent statement or unsupported assumption.

Stage confidentiality and verification

Use access stages tied to the evaluation need. An initial pack can describe structure, mandate, service model and volumes without exposing investor identities or transaction-sensitive positions. Shortlisted candidates may need deeper data under approved controls. Information released for final diligence should be logged, watermarked where appropriate, time-limited and restricted to named users. Record the legal basis, owner and return or destruction route for each stage.

  1. Initial screeningVerify the exact candidate entity and current directory record, then share a bounded structure and mandate overview.
  2. Comparable proposalRelease common operating volumes, dependencies and service assumptions so every candidate prices the same scope.
  3. Shortlist diligenceProvide controlled deeper data, sample outputs and open issues with named access and question tracking.
  4. Preferred-candidate validationTest people, systems, conflicts, delegation, reporting and transition claims using evidence and demonstrations.
  5. Approved transition releaseOnly after the proper decision and documents, move into the authorised handover data and access plan.

Verify the candidate's exact legal entity in the current MAS directory and require it to explain how its status and operating scope map to the proposed mandate. Keep that question distinct from corporate group reputation, individual biographies and the capabilities of an affiliate. The final board record should be able to connect the evaluated evidence to the entity named in the proposed agreement and VCC records.

Compare proposals and seed the handover

Normalise every proposal against the same responsibility matrix. Identify exclusions, reliance on incumbent staff, subcontractors, data conversions, manual work, implementation support, reporting differences and assumptions about portfolio or investor complexity. Score evidence separately from promises. A lower headline fee may exclude transition, middle-office work, compliance support or interfaces that another bidder includes, so compare the target operating model before comparing price.

Frequently asked questions

Should the incumbent manager prepare the whole replacement pack?

The incumbent may supply records and explanations, but the VCC board or delegated process owner should define the scope, verify material facts and preserve independent sources. Relying entirely on one incumbent view can hide unresolved gaps, informal dependencies or assumptions that replacement candidates need to price.

Can investor names be withheld during early evaluation?

Often the initial task can use approved aggregates and redacted samples, depending on the actual mandate and advice. Stage access according to need, confidentiality and decision status. Record who received what, why it was necessary, and the return, deletion or continuing-access condition.

Is a MAS directory entry enough to select a manager?

No. Verify the exact legal entity and relevant current record, then assess mandate fit, people, conflicts, delegation, operations, data, providers, reporting, continuity, commercial scope and transition capability. The directory check is an important identity and status control, not a complete due-diligence conclusion.

When should the data pack become a transition inventory?

Only after the proper selection, approvals and documents establish the transition route. Then verify accepted facts, add record-level owners, access, formats, cut-offs and acceptance tests. Preserve the evaluation pack separately so bidder statements are not mistaken for confirmed production records.
