Freeze the call before deciding that default occurred
Open one controlled event file containing the final call notice, delivery evidence, amount calculation, bank instructions, due-time convention, payment ledger and any investor query. Protect allocations and investor communications
Do not let the missing cash create an undocumented reallocation. Maintain a provisional schedule showing the affected investment, borrowing need, fee base, commitment balance and every investor's treatment under the governing formula. If another investor or facility bridges the shortfall, record the authority, economics and later unwind. Communications should distinguish facts from reserved legal positions and should not imply that a remedy has been exercised before approval. Send the administrator one instruction that identifies the VCC, sub-fund, investor, effective date, records to update and records to leave unchanged. Reconcile the cure or final remedy
Closure requires more than receiving money or sending a final letter. Reconcile bank cash, unapplied cash, investor commitment, capital account, ownership record, fee calculations, investment allocation, borrowing or bridge positions and all notices. Compare the implemented outcome with the approval and governing rule sheet. Preserve interest, costs, waiver or amendment calculations separately so they can be reproduced. Frequently asked questions
Is an investor automatically in default when cash is late?
Not necessarily. The executed terms determine when the payment obligation arose, how notice must be given, which time convention applies and whether a cure period exists. First eliminate bank, delivery, calculation and cash-application errors. Use default language only after the contractual test has been completed and the proper authority has accepted the conclusion.
Can the fund administrator grant more time?
An administrator may report the exception and execute an approved instruction, but it should not invent a waiver or amendment. The governing documents and delegated-authority records determine who may extend time or reserve rights. The decision should be written, conflict-checked and communicated consistently to the investor and all operational providers.
Should the investment allocation change immediately?
Usually the safer operational approach is to preserve a provisional allocation schedule until the documents and decision authority establish the outcome. Moving an asset or commitment early can create a second error. Record any bridge or temporary funding explicitly and reconcile it when the cure or final remedy is implemented.
Can the manager waive a default for a relationship reason?

What evidence closes a cured capital-call default?
