Define the exact valuation decision

Open the record with the legal asset name, identifier, VCC and sub-fund owner, quantity, currency, valuation point and intended use of the value. Attach the policy hierarchy and ordinary source that would have applied. State the proposed value separately from the reason for rejecting the ordinary output. Classify why the ordinary result failed

Different failures need different remedies. A stale or obviously corrupted feed may justify replacing one input while keeping the method. An unavailable observable input may require an authorised secondary source. A market disruption may require a judgmental estimate. A proposed methodology change is more significant because it can alter future valuations, not only one result. Classification prevents a temporary data repair from becoming an unapproved model change and prevents a policy disagreement from being disguised as an operational correction.

Build an evidence hierarchy

Collect evidence that is relevant to the asset and valuation point, then rank it by independence, observability, recency and consistency. Useful evidence may include executable quotations, recent arm's-length transactions, comparable instruments, independent price services, counterparty marks, cash-flow information and model sensitivity. More evidence is not automatically better. Five correlated broker indications can carry less independent weight than one completed transaction with different economics. Record exclusions and adjustments so another reviewer can reproduce the route from source data to the proposed value.

Control conflicts and approval authority

Identify who benefits from the proposed value, including effects on performance fees, subscriptions, redemptions, borrowing capacity, collateral or reported returns. A portfolio manager can supply asset knowledge without becoming the sole approver of a value that affects measured performance. The administrator can calculate NAV without owning every judgment embedded in an override. The governance record should show independent challenge proportionate to uncertainty and impact, the authority used, any abstention and the precise conditions attached to approval.

Measure the NAV and investor impact

Calculate the difference between the ordinary output and proposed value, then trace the effect through the correct sub-fund, share classes, fees, performance, collateral, risk measures and investor dealing. Use both absolute and relative effects selected by the organisation, but do not let one threshold replace judgment about fairness or disclosure. For an umbrella VCC, keep ownership and impact within the relevant sub-fund. If the override affects a previously released value, open the separate NAV-error and correction process rather than using the override record to erase history.

Approve duration, monitoring and reversal

An approval should state whether it applies to one valuation point, a defined period or a method until specified conditions change. Set the evidence that will be collected next, who monitors it and what triggers reconsideration. Temporary overrides should expire automatically unless renewed through fresh challenge. If the ordinary source later returns, compare it with the override and investigate unexplained differences before reverting. Where a methodology was changed, update policy and system configuration through the proper change-control route rather than relying on repeated exception approvals.

Work through a disputed private asset

Consider a hypothetical private holding whose latest financing round is old and whose forecast was revised downward. The portfolio team proposes keeping the previous value because a sale process is expected. The valuation reviewer should separate the stale transaction, revised operating evidence and uncertain sale assumption. It should test comparable evidence and sensitivities, disclose the portfolio team's interest in performance, calculate class and fee effects, and approve a supported value or range for a defined period. A hoped-for transaction is not itself observable evidence at the valuation point.

Retain the ordinary output, source files, proposed value, evidence hierarchy, calculations, challenge comments, conflicts, approvals, downstream impact, investor treatment and later reversal. The record should allow a director, auditor or reviewer to see what was known at the valuation point and why the decision was reasonable then. Do not backfill the file with later information as though it existed earlier. Link repeated overrides for the same asset so that frequency, directional bias and recurring source weakness become visible.

Frequently asked questions

Is using a secondary price source always an override?

It depends on the approved valuation policy. If the policy already defines a hierarchy and the primary source is unavailable, moving to the authorised secondary source may be ordinary processing. Departing from that hierarchy or changing the method needs a clearer exception record.

Can the portfolio manager propose a valuation?

Yes, asset knowledge can be important, but the proposer should not be the only challenger and approver where the value affects measured performance, fees or investor dealing. Record the conflict and obtain proportionate independent review.

Should an override use one value or a range?

The operational process may need one booked value, but the decision record can also state a supported range and sensitivity. This makes uncertainty visible and helps define monitoring and reconsideration triggers without pretending the evidence is more precise than it is.

What if the override changes a published NAV?

Open the applicable NAV-error and correction process. Preserve the previously released value, identify affected investors and records, and decide remediation and communication through that process. Do not rewrite history inside the valuation file.

When should a temporary override end?

The approval should define expiry and evidence-based triggers. It may end when the ordinary source becomes reliable, a transaction supplies better evidence, assumptions change or a formal methodology is approved. Automatic renewal weakens the control.
