Independent Singapore VCC guidance
Direct answer
Control a VCC short sale by proving four things before release: the named mandate permits the strategy, the instrument and size are within approved limits, the relevant market and broker requirements have been identified, and valid borrow or locate evidence is linked to the order. After execution, reconcile the fill, borrow, fees, collateral and settlement. Escalate a reduced allocation, recall, rate change or delivery failure before it becomes an unexplained position or cost. Keep jurisdiction-specific rules separate from the VCC-wide operating framework.
At a glance
- A broker locate does not replace the manager mandate, risk and concentration checks.
- Market-specific rules should be identified for every venue rather than treated as universal.
- Link the locate, order, execution, borrow and settlement records with stable identifiers.
- Monitor recalls, borrow-cost changes and settlement failures throughout the position life.
Who this is for
- A VCC manager using covered short-sale strategies through an executing broker or prime broker.
Important exclusions
- A statement that one jurisdiction short-sale rule applies to every security, venue, broker or investment mandate.
Start with mandate and market scope
Identify the VCC or sub-fund, strategy, security, venue, executing broker, settlement market and proposed position size. Confirm that the governing documents, investment mandate and internal limits permit a short position and any related borrowing, leverage, collateral or derivative exposure. Then identify which market rules and broker procedures apply. Do not copy a US locate concept into another market without confirming local treatment. MAS risk-management material places investment controls, governance and monitoring around the manager decision, while foreign-market rules may determine order marking, locate or delivery mechanics for the selected venue. Record both layers in the trade file.

|---|---|---|
| Mandate | May this VCC or sub-fund take this short exposure? | Governing terms, strategy authority and approved limits |
| Risk | Does the position fit concentration, liquidity, leverage and loss limits? | Pre-trade check and accountable approval |
| Market | What marking, borrow, price or delivery rules apply on the venue? | Current rule source and broker procedure |

Approve the borrow source before release
Obtain broker evidence that is appropriate for the market and order. For a US-listed equity order subject to Regulation SHO, SEC guidance describes order marking, locate and close-out concepts and explains that the executing broker documents the locate before effecting the short sale. The manager should still test whether the source, quantity, validity window, account, security identifier and cost correspond to the proposed order. A quote for availability is not the same as an executed stock-loan record, and a locate may expire or be reduced. Record who requested it, who approved the cost and which order may consume the available quantity.
Sources: US Securities and Exchange Commission · Monetary Authority of Singapore- Match the borrow or locate evidence to the correct legal account, security and settlement market.
- Record available quantity, time validity, quoted economics and any reuse or single-use condition.
- Prevent the released short quantity from exceeding the approved and evidenced borrow quantity.
- Escalate hard-to-borrow costs, concentration or recall sensitivity before the trader commits the order.
Link locate, order and execution records
Use one control identifier across the portfolio decision, locate request, broker response, order-management record and final fills. Capture amendments, partial fills, cancellations and unused borrow so the file shows how much approved availability was actually consumed. Where an order is re-entered on another day or routed through a different broker, re-evaluate the market and broker conditions instead of assuming the earlier evidence remains usable. Compare order marking and account coding with the intended long or short position. Independent operations review should be able to reproduce the chronology without relying on a trader inbox or an oral explanation.

Reconcile economics, collateral and settlement
After execution, reconcile the short position and stock-loan record across the manager, broker, custodian and administrator. Check quantity, settlement date, borrow rate or fee basis, collateral movements, manufactured payments, recalls and close-out activity. Set exception ownership before value date. A missing borrow record, mismatched security identifier or unexpected rate change can distort both cash and NAV even if the trade fill is correct. Maintain separate evidence for the economic position and the delivery obligation. Reconcile failures promptly and determine whether the broker, manager or another provider must take corrective action under the applicable market process.

|---|---|---|
| Trade blotter | Short fills match authorised order quantity | Overfill, wrong account or incorrect order marking |
| Stock-loan record | Borrowed quantity supports the open short | Locate not converted, partial borrow or early recall |
| Cash and collateral | Fees and collateral movements match agreed terms | Unexpected rate, duplicate movement or unmatched cash |
| Custody and accounting | Position, settlement and accruals agree | Failed delivery, stale fee accrual or wrong security mapping |
Handle recalls and delivery failures
A recall, reduced availability or failed delivery should open a named exception with a decision deadline, economic exposure and responsible owner. Determine whether to source replacement borrow, reduce the position, close it, dispute provider data or take another action permitted by the mandate and market. Do not hide a failed delivery inside a generic reconciliation break. For US equity orders, use current SEC and broker procedures to determine applicable close-out treatment; for other markets, document the relevant local source. Preserve communications and timestamps so the later review can distinguish market constraints, provider failure and manager delay.

Review the control as a whole
Aggregate short positions, borrow utilisation, hard-to-borrow charges, recalls, delivery failures and manual overrides by mandate and broker. Review outliers with investment, operations, risk and compliance, then adjust broker limits, system controls, evidence fields or escalation triggers where the pattern justifies change. The VCC board need not recreate each trade decision, but it should receive useful information about material exceptions, provider dependence and whether the manager control is operating. Retain enough data to test whether a cheaper or more reliable execution path existed without reducing the review to price alone. Connect repeated failures to the wider provider and operational-risk process.

Is a broker locate the same as borrowing the shares?
Not always. A locate may evidence availability or reasonable grounds under a market process, while the later stock-loan record shows the actual borrow. The manager should link both to the executed short position.
Can one locate support several VCC sub-funds?
Do not assume so. Confirm the account, quantity, conditions and broker procedure, then allocate availability to authorised orders without double use. Each sub-fund should have a reproducible mandate and position record.
Does Regulation SHO apply to every VCC short sale?
No. Regulation SHO is a US framework for relevant equity securities. Identify the security, venue, broker and governing market rules for each order instead of presenting the US approach as universal.
What should happen when borrow cost changes sharply?
Compare the change with approved economics, mandate limits and expected holding period. Escalate material changes before they become unexplained fund costs, and record whether the position was retained, resized or closed.
How should a failed delivery be recorded?
Open a specific exception linked to the order, borrow, account and settlement obligation. Record the applicable market process, owner, action, accounting effect, communications and closure evidence rather than carrying a generic cash break.
