Classify the proposed cash movement

Begin with the investor right or fund event that creates the payment. A dividend or distribution is not the same as redeeming shares, repaying an erroneous charge, settling an expense, returning subscription money or making a liquidation payment. The classification controls which document provisions, approvals, calculations, notices, ledger entries and investor records apply. Ask the proposer to identify the source document, eligible investor population, record date or equivalent cut-off, payment basis, currency, account and expected effect on shares and NAV before the board considers approval.

Build the authority and rights map

Map the proposal against the constitution, offering memorandum, relevant supplement, subscription terms, class rights, side letters and board-reserved matters. Identify whether the authority sits with directors, the manager, members or more than one body, and whether a notice or other precondition applies. Do not rely on a generic statement that VCCs have flexible capital. ACRA confirms the structural ability to pay dividends from capital, while the actual documents determine how this fund has chosen to exercise its powers and protect investor rights.

Test the economic effect before approval

The board pack should show available cash, forecast obligations, unsettled trades, margin or financing needs, expected redemptions, provider invoices and the effect of the payment on the fund and remaining investors. Finance and the administrator should explain how the amount changes capital, NAV, per-share information and investor reporting. For an umbrella, confirm that the payment is attributed to the correct sub-fund and that no common account or journal creates leakage. A legally available power can still be a poor decision if the evidence shows the fund cannot meet its strategy or obligations comfortably after payment.

Assign distinct roles for preparing the calculation, reviewing the source data, approving the decision, releasing cash and reconciling the outcome. The administrator may calculate entitlements, but the board and manager should understand the assumptions and investigate unusual results. Payment instructions should reference the approved schedule and controlled account data rather than an editable email attachment. Any late investor change, NAV correction, bank rejection or document question after approval should return through a defined exception route instead of being fixed informally by operations.

Frequently asked questions

Can every Singapore VCC pay a dividend from capital?

ACRA identifies payment of dividends from capital as a VCC feature. A particular proposal still has to be tested against the VCC’s constitution, fund documents, investor rights, approvals, accounting position and actual circumstances.

Is a distribution from capital the same as a redemption?

No. A redemption cancels or repurchases shares under the relevant dealing terms, while a distribution pays an entitlement without necessarily changing the number of shares. Classify the event before selecting calculations and records.

Should the administrator approve the payment?

The administrator may prepare calculations and records, but the approval route should follow the fund’s governing documents and delegation framework. Separate preparation, review, formal decision and cash release to reduce self-approval risk.

What should be checked for an umbrella VCC?

Confirm the correct sub-fund, investor and class population, cash account, liabilities, ledger, NAV effect and documents. Shared systems or accounts should not allow a payment to be posted against the wrong pool.

What if an investor bank payment is rejected?

Do not silently edit the approved schedule. Record the rejection, revalidate account instructions through the approved channel, apply the documented exception process and reconcile the final outcome to the original entitlement and approval.
