Can a Family Office Use a VCC?

A family can use a VCC for an investment fund, but a VCC is not a general-purpose family holding company. Whether it is useful depends on the assets, investment management arrangement and the rights family members need.
Start with what the family wants to pool
A managed securities portfolio presents a different problem from operating businesses, personal property and assets used by family members. List the proposed assets and why they belong in one investment arrangement before selecting the vehicle.
If the goal is only to transfer ownership between generations, compare other structures as well. A VCC adds fund governance and recurring administration that may not solve the underlying succession issue.
The manager question comes first
The VCC needs a permissible fund manager. A single family office should not assume that its own exemption or tax application makes it eligible for that appointment. The family, manager and advisers need to agree who will make investment decisions and on what legal basis.
Agree family rights explicitly
Discuss who can invest, who can transfer shares, when withdrawals are possible and how disagreements will be handled. Different branches may want different liquidity or risk exposure. Decide whether that requires separate sub-funds, different share classes or a different arrangement altogether.
These are family decisions before they are drafting instructions. Leaving them unresolved can turn a later redemption request into a wider dispute.
ACRA’s VCC eligibility guidance explains the structure’s purpose. Tax incentives need a separate assessment. Our family governance guide offers a discussion agenda before incorporation.
