Independent Singapore VCC guidance
Direct answer
Treat AEOI deregistration as a controlled workstream inside the VCC closure plan, not as an afterthought. First confirm why the entity will stop being a Reporting Singaporean Financial Institution, freeze the account population and file every final or outstanding CRS and FATCA return. Wait for acceptance, cancel the FATCA agreement on the US IRS portal when applicable, then submit the IRAS deregistration request while authorised portal access still works. Keep the acceptance notices, classification analysis, board authority and closure documents together.
At a glance
- Do not cancel registrations before final and outstanding returns have been accepted.
- Separate the CRS decision, the FATCA decision and the VCC closure decision in one control record.
- Preserve portal access and accountable owners until both tax-regime outcomes are evidenced.
- Use a nil return only after confirming there are no reportable accounts for that reporting year.
Who this is for
- A VCC that is liquidating, preparing for strike-off, ceasing to be a Reporting SGFI or losing Singapore tax residence.
Important exclusions
- A fund that remains a Reporting SGFI and is merely changing its administrator, point of contact or filing vendor.
Open one closure and classification record
Start with the event that may change the VCC classification: liquidation, intended strike-off, loss of Singapore tax residence, cessation of the relevant regulated activity, or another fact that means the entity is no longer a Reporting SGFI. Record the intended effective date, affected registrations, account population, responsible director, tax adviser, administrator and liquidator. Do not let a corporate closure date stand in for an AEOI conclusion. The file should explain whether CRS and FATCA apply separately, who reached each conclusion and which evidence supports it. IRAS identifies several circumstances in which deregistration should be considered and also tells entities to address both regimes where relevant.

Freeze the final reporting population
Set a clear data cut-off and obtain a complete register of financial accounts maintained during the final reporting year. Reconcile investor identifiers, tax residencies, controlling persons, account balances, closures and reportable status to the administrator and transfer-agent records. Keep changes after the cut-off in an exception log rather than silently overwriting the population already reviewed. A nil conclusion should have the same sign-off discipline as a populated return because it states that no reportable accounts exist for that period. Confirm that historic corrections, back-year obligations and rejected submissions are visible before anyone prepares the final files.

- List every outstanding, rejected, corrected or back-year CRS and FATCA submission in one tracker.
- Document the basis for each reportable, non-reportable or nil conclusion with an accountable reviewer.
- Retain the data extract and validation results used to create each final return package.

File and clear every final return
IRAS says final and outstanding returns should be filed and accepted before deregistration. Where the cessation occurs during a reporting year, the team should consider the advance-reporting route described by IRAS instead of waiting until normal annual filing season. Submission is not completion: capture the portal acknowledgement, monitor the status and resolve any file-level or record-level rejection. If the return is nil, preserve the account-population reconciliation that supports the nil filing. The closure tracker should show a separate accepted outcome for CRS and FATCA rather than one combined checkbox.

- ResolveInvestigate rejected files or records, correct the source data and resubmit through the controlled process.
- ConfirmWait for accepted status and save the acceptance evidence before moving to deregistration.
Cancel FATCA registration in the right order
FATCA has an extra dependency because the Reporting SGFI may also appear on the US IRS Foreign Financial Institution list. IRAS directs the entity to cancel the FATCA registration agreement through the US IRS portal before submitting the FATCA deregistration information to IRAS. Record the cancellation date and the identity of the authorised operator, then reconcile that result to the GIIN and entity details held in the IRAS profile. Do not treat removal from one system as proof that the other system has updated. If CRS continues to apply, the record must make clear that only the FATCA registration is ending.
Sources: Inland Revenue Authority of SingaporeSubmit the IRAS deregistration package
Prepare the director-signed explanation, entity identifiers, cessation date, new classification where relevant and supporting closure or regulatory documents. IRAS currently instructs applicants to combine the supporting material into one PDF for the online service and notes that a third-party service provider cannot access the deregistration service for the Reporting SGFI. Build that access fact into the plan: the VCC or liquidator should know which authorised person will submit, how portal access will be retained and who will respond if IRAS asks for more information. Save the submitted package, acknowledgement and later notice without retaining login credentials in the working file.
Sources: Inland Revenue Authority of Singapore · Inland Revenue Authority of Singapore · Inland Revenue Authority of Singapore- Match the entity name, tax reference and cessation date across the cover letter and portal fields.
- Attach the classification and closure evidence that supports the stated reason for deregistration.
- Confirm final returns are accepted and preserve their status evidence before pressing submit.
- Assign one authorised portal user and one response owner for any follow-up from IRAS.
Close access only after outcome evidence exists
Keep Corppass and myTax Portal access available until the deregistration outcomes can be read back and downloaded. Reconcile the final notices to the closure register, the US IRS status where FATCA applied, the VCC legal-status timetable and the records-retention plan. If the entity has already been dissolved or struck off, follow the alternative IRAS route for a liquidator rather than improvising access. A completed workstream should show the effective cessation basis, all accepted returns, deregistration submissions, authority outcomes and the location of retained support. Only then should the team retire portal roles, vendor access and recurring filing tasks.

Frequently asked questions
Can a VCC deregister before its final CRS return is accepted?
IRAS instructs Reporting SGFIs to file final and outstanding returns and ensure they are accepted before applying to deregister. Keep the accepted status as a hard dependency in the closure tracker, including for nil returns and advance-reporting submissions.
Does a nil return remove the need for supporting work?
No. A nil return still reflects a conclusion about the account population for the reporting year. Retain the reconciled account register, classification analysis, reviewer sign-off and evidence that no reportable accounts remained.
Is cancelling FATCA with IRAS enough?
Not necessarily. IRAS currently directs a Reporting SGFI to cancel its FATCA registration agreement through the US IRS portal before providing the deregistration information to IRAS. Evidence both systems separately.
Can the fund administrator submit the IRAS deregistration request?
IRAS states that a third-party service provider cannot access the deregistration service for the Reporting SGFI. Plan for an authorised entity user or liquidator and keep access available until the outcome is retrieved.
What if the VCC has already been struck off?
IRAS publishes an alternative route for an entity that can no longer access myTax Portal, including steps for the liquidator. Use that official route and retain the closure documents and accepted final-return evidence.
