Approve Real-Asset Capital Expenditure in a VCC

Independent Singapore VCC guidance

By Variable Capital Companies Actimplementation guide

Direct answer

A real-asset VCC should approve capital expenditure only after matching the project to the asset-owning sub-fund, the approved business plan, delegated authority, contract, verified progress and available cash. The invoice must be checked against completed work and any retention, change order or tax component. Before payment, finance should assess the accounting and valuation consequences with the administrator and valuation owners. The complete record must reconcile the approved project, vendor, bank payment, fixed-asset or expense ledger and NAV.

At a glance

  • Prove sub-fund and asset ownership before reviewing the invoice total.
  • Separate original scope, approved changes, retention and disputed work.
  • Connect project completion evidence to accounting and valuation review.
  • Reconcile payment through the property ledger and VCC NAV pack.

Who this is for

  • Real-estate, infrastructure and other real-asset VCC sub-funds paying for improvements, replacements or major project work.

Important exclusions

  • A universal conclusion on capitalisation, tax, depreciation or valuation under a specific accounting framework.

Confirm the asset-owning sub-fund and project authority

Begin with the ownership map. Match the property, project company, title or investment record to the VCC sub-fund that bears the economic exposure. Then identify the approved business plan, board or investment-committee authority, delegated spending limit and project budget. A property manager may administer the work, but its instruction does not replace VCC authority. For an umbrella structure, do not allocate a project to whichever sub-fund has cash available. The VCC framework relies on segregated sub-fund assets, liabilities and accounting records, and MAS governance expectations require effective oversight of delegated providers. Record the legal owner, economic owner, contracting party and paying account so any difference is deliberate, permitted and fully bridged.

  • Match the asset and project company to the controlled investment register and owning VCC sub-fund.
  • Locate the approved business plan, project budget and authority for the relevant spending category.
  • Confirm the property manager, contractor and VCC signatories are acting within current delegations.
  • Identify the contracting party, invoice recipient and planned paying account before work is certified.
  • Escalate any cross-sub-fund funding proposal before it becomes an unexplained receivable or cash transfer.

Reconcile scope, changes and completed work

Build one project control sheet from the signed contract, bill of quantities or scope, purchase orders, approved change orders, progress certificates, retention terms and prior payments. The invoice should not be reviewed in isolation. Confirm that billed work is within scope, performed at the relevant asset and certified by an authorised person independent of the vendor. Track cumulative approved value and cumulative paid value to prevent a correct current invoice from causing an overpayment across the project. Photograph or engineer evidence can support completion, but the reviewer should know what it proves and what it does not. Disputed, incomplete or unsupported items should remain outside payment and outside final NAV treatment until resolved through the contract process.

Classify the accounting and valuation effects

Project approval and accounting classification are related but separate decisions. Finance should identify whether the payment creates or improves an asset, replaces a component, repairs existing condition, settles a deposit, or represents another type of cost under the applicable policy. Do not label a payment capital expenditure merely because it is large or included in a capital budget. At the same time, the valuation owner should assess whether completed work, cost overruns, delays, tenant disruption or changed expected cash flows affect the current valuation evidence. The fund administrator needs the approved classification and effective date, while the valuation committee needs material project facts. Preserve any difference between project cost and fair-value impact rather than assuming they move together.

  1. New or improved assetApply the controlled accounting policy and ensure the asset register captures the supported component and effective date.
  2. Repair or maintenanceRecord the rationale for expense treatment and confirm the project budget did not dictate accounting classification.
  3. Deposit or advanceKeep the amount in the appropriate receivable or advance account until performance and recognition conditions are met.
  4. Valuation impactSend current completion, delay, overrun and cash-flow evidence to the authorised valuation owner for assessment.
  5. Unresolved classificationHold the item as an exception and avoid a convenient final posting before the policy owner decides.

Approve cash without weakening vendor controls

Before release, independently verify the vendor identity and bank account against controlled master data. A project manager who certifies completion should not also make an unreviewed bank-detail change. Match the payment amount to the approved net invoice after retention, credit notes, advance recovery and disputed items. Confirm cash availability within the asset-owning sub-fund and model other near-term obligations. If financing proceeds or a capital call funds the project, link the source to the authorised purpose and record any conditions. Use dual approval and a clear payment narrative. Urgent construction deadlines do not justify bypassing beneficiary verification, because fraud recovery after a property payment can be difficult and may affect investor NAV.

  1. Verify vendorMatch legal name, bank details and contract to controlled master data using an independent verification route.
  2. Certify workObtain authorised evidence that the billed milestone or quantity has been completed at the owned asset.
  3. Calculate net payApply retention, credits, advances, disputes and prior payments to the approved invoice amount.
  4. Confirm liquidityProve the owning sub-fund can fund the payment without obscuring other committed obligations.
  5. Release and read backUse dual authority, then match bank proof to the project ledger and vendor acknowledgement.

Close the project movement through NAV

After settlement, reconcile the bank debit to the vendor account, project ledger, fixed-asset or expense ledger, property-level reporting, administrator books and NAV. Update cumulative budget, commitment, paid, retained and disputed values. If the project spans periods, document cut-off using work-completion evidence rather than invoice date alone. Confirm that a deposit has not been counted both as an advance and as completed capital work. Where the valuation file incorporates project information, retain the exact version delivered and the resulting challenge. Outstanding retention and defects should remain visible until released or resolved. The close process should allow a reviewer to move from sub-fund ownership through authority, completion, payment, accounting and valuation without encountering an unexplained handoff.

Monitor overruns and repeat exceptions

A single approved invoice can still reveal a weak project. Track cumulative spend against original and revised budgets, late change orders, repeated bank-detail changes, disputed work, retention releases, defects and forecast-to-complete. Separate genuine scope expansion from under-budgeting. Where several properties or sub-funds use one contractor, monitor concentration and ensure credits are returned to the correct project. Escalate recurring after-the-fact approvals because they weaken both budget control and valuation evidence. Directors and fund-management oversight should receive concise exception reporting that shows exposure, ownership, action and decision authority. Trend data should support challenge, not replace it. A project within budget can still be poorly controlled, while a justified overrun can be acceptable when authorised and transparently reflected.

Frequently asked questions

Does a capital budget prove that a VCC payment should be capitalised?

No. A capital budget authorises planned spending, subject to its conditions. Accounting classification follows the applicable policy and facts about the work. Finance should separately document whether the payment creates or improves an asset, replaces a component, repairs existing condition, pays a deposit or has another treatment.

Can a property manager approve and pay the same invoice?

The delegation may assign operational roles, but the VCC should preserve meaningful separation and independent oversight. Completion certification, bank-detail maintenance, payment creation and approval should not collapse into one unchecked person. Where staffing is limited, use compensating review and retain evidence that the VCC or manager challenged the provider.

How should change orders be controlled?

Record each change against the original scope, reason, cost, schedule and approving authority before it is billed. Update the forecast-to-complete and valuation information where relevant. Late emergency changes should use the documented exception path and receive prompt retrospective review, not become a routine way to avoid prior approval.

What if one bank account pays projects for several sub-funds?

The payment mechanism must not erase ownership. Each project and cash movement should remain attributable to its asset-owning sub-fund, with permitted settlement and complete inter-account records where necessary. Reconcile the central payment to each sub-fund ledger before NAV and resolve any temporary balance under the approved policy.

When should the valuation team be involved?

Provide current information when project completion, delays, defects, overruns, revised use, tenant disruption or changed cash flows could affect valuation. Do not wait for year end if the facts are relevant to the current NAV. The valuation owner should receive controlled evidence and record how it affected, or did not affect, the conclusion.
