ADGM Family Office vs Singapore: Thresholds, Foundations and Free Zone Tax

Short answer: ADGM offers a lightly administered single family office licence (its published floor is USD 10 million of family net assets), a statutory foundation and no personal income tax, but its 0% corporate rate depends on conditions. Singapore offers a class licensing exemption with no published asset floor, deeper banking and talent, and conditional 13O/13U fund tax exemptions.
Key facts at a glance
- ADGM single family office: a controlled licence activity issued by the Registration Authority, not a financial services permission. ADGM’s own page lists minimum family net assets of USD 10 million, an incorporation fee of USD 5,600 and annual renewal of USD 5,300.
- ADGM Foundations Regulations 2017 give foundations their own legal personality. Singapore has no equivalent foundations statute and uses trusts, private trust companies, companies limited by guarantee and Variable Capital Companies (VCCs) instead.
- UAE corporate tax under Federal Decree-Law No. 47 of 2022 is 0% up to AED 375,000 and 9% above it. A Qualifying Free Zone Person pays 0% only on Qualifying Income and only while it meets every condition in Article 18.
- Under Article 17 of the same law, a family foundation may apply to the Federal Tax Authority (FTA) to be treated as fiscally transparent. The FTA reissued its family foundations guide (CTGFF1) on 10 June 2026.
- The UAE does not tax individuals on income. The dirham has been pegged to the US dollar since February 2002 at AED 3.6725.
- Singapore’s revised single family office exemption took effect on 15 June 2026: notify MAS within 14 days of starting, keep an account with a MAS-licensed bank, and file an annual return. Existing offices have until 15 June 2027.
- Singapore’s 13O and 13U fund schemes require at least S$20 million and S$50 million respectively in designated investments.

Families comparing an ADGM family office vs Singapore are choosing between two credible common law platforms that differ in where the tax benefit sits, how succession vehicles work and how a principal gets residence. Abu Dhabi Global Market (ADGM) is a financial free zone on Al Maryah Island. It is a separate jurisdiction from Dubai’s DIFC, so our Singapore vs Dubai family office comparison does not answer the Abu Dhabi question. All figures below were checked against official ADGM, UAE federal, Monetary Authority of Singapore (MAS), IRAS, EDB, MOM and Singapore Courts sources on 12 October 2026.
How is a single family office licensed in ADGM?
An ADGM single family office is a company that holds a commercial licence from the ADGM Registration Authority for a controlled activity. It does not need a financial services permission from the Financial Services Regulatory Authority (FSRA). It serves one family only.
The features ADGM publishes on its family offices page are:
- Minimum family net assets of USD 10 million.
- “Family” covers all blood relations, so the office can continue indefinitely.
- The option to register as a Restricted Scope Company, which limits public disclosure to the company name and office address.
- Direct set-up without a corporate service provider, light ongoing administration, and no audit requirement.
- Fixed ADGM fees: USD 5,600 to incorporate and USD 5,300 a year to renew, with no minimum capital or bank balance.
The threshold needs care. In June 2024 the Registration Authority consulted (Consultation Paper No. 5 of 2024) on introducing minimum requirements so the regime is not abused. We could not open the current rule text, so we cannot confirm whether the USD 10 million figure has since changed. Confirm the threshold, and how it is measured, with the Registration Authority before relying on it.
A multi-family office, by contrast, needs an FSRA financial services permission (ADGM cites a Category 4 licence).
ADGM’s published set-up steps are:
- Submit a business plan before the online application.
- Create a profile on the Online Registry Solution.
- File the forms and documents and pay the fee.
- Answer any requests for changes.
- Receive the licence by email on approval.
How does Singapore’s single family office exemption compare?
Singapore does not license single family offices. Since 15 June 2026, a qualifying office relies on a class exemption under the Securities and Futures Act 2001 framework. It must notify MAS within 14 days of starting operations, keep an account with a MAS-licensed bank, and file a short annual return showing assets under management and the name of its bank.
The published exemption conditions set no minimum assets under management. The office must be incorporated in Singapore and may manage money only for the family, family-funded charities and key employees. Key employees’ assets are capped at 10% of the total. Offices already operating have until 15 June 2027 to comply and notify. See our note on the 15 June 2027 transition.
The asset floors in Singapore belong to the tax schemes, not to licensing. Under MAS’s current conditions for funds managed by single family offices, a 13O fund needs at least S$20 million in designated investments and a 13U fund needs at least S$50 million. MAS issued updated conditions in FDD Circular 05/2026. The fund also needs qualifying investment professionals (two for 13O and three for 13U, at least one of them not a family member), local spending and capital deployment, and a private banking account with a MAS-licensed financial institution. Our guide to the Singapore family office minimum AUM sets out each tier.
ADGM foundations or Singapore trusts: which works better for succession?
ADGM has a purpose-built foundation statute. Singapore does not, but it reaches the same result through trusts and corporate vehicles. The choice usually depends on whether the family wants a legal entity or a fiduciary relationship.
Under the ADGM Foundations Regulations 2017, a foundation:
- Has separate legal personality and holds assets in its own name.
- Is run by a council whose duties are set out in the Regulations.
- Has a guardian, which is optional while the founder is alive and compulsory after the founder’s death.
- Includes firewall provisions intended to protect assets against bankruptcy claims, divorce claims and forced heirship rules.
- Can carry on commercial activity only where it is necessary, ancillary or incidental to the foundation’s purposes.
ADGM states that initial assets can be as low as USD 100. Individuals’ names do not appear on the public register, but the Registrar sees full details. A non-exempt foundation must appoint an ADGM-registered company service provider. Disputes fall to the ADGM Courts under Article 13 of Abu Dhabi Law No. 4 of 2013.
A Singapore trust under the Trustees Act 1967 is the usual core. A private trust company can act as trustee for a single family without a trust business licence, provided it engages a licensed trust company for anti-money laundering checks (see our private trust company guide). A company limited by guarantee gives a corporate body with no shareholders, which suits philanthropy. A VCC under the Variable Capital Companies Act 2018 can hold separate family branches in sub-funds. Our comparison of trust, VCC and family office structures covers how these fit together.
IRAS confirms Singapore estate duty was removed for deaths on and after 15 February 2008.
Does an ADGM family office really pay 0% corporate tax?
Only if it qualifies. UAE corporate tax applies to free zone entities. The 0% free zone rate is a conditional relief that applies to specific income, not an exemption for the entity.
Under Federal Decree-Law No. 47 of 2022, which applies to financial years starting on or after 1 June 2023, the standard rates are 0% on taxable income up to AED 375,000 and 9% above that. Article 18 makes a free zone entity a Qualifying Free Zone Person only if it meets all of these conditions:
- It maintains adequate substance in the UAE.
- It earns Qualifying Income as defined by Cabinet decision.
- It has not elected to be taxed under Article 19.
- It complies with Articles 34 and 55.
- It meets any other conditions the Minister sets.
An entity that fails any condition at any point in a tax period loses its status from the start of that period. The Ministry of Finance limits the 0% rate to Qualifying Income, so the outcome depends on what the office earns and how it is staffed.
Family foundations have a separate route. Article 17 allows a foundation, trust or similar entity to apply to the FTA to be treated as an Unincorporated Partnership, and so as fiscally transparent. It must be set up for identified or identifiable individuals or a public benefit entity. Its principal activity must be managing savings or investment assets, it must not carry on what would be a business if the founder or beneficiaries did it directly, and tax avoidance must not be its main purpose. The FTA’s guide names ADGM foundations expressly. The FTA reissued it on 10 June 2026; we could not open the 2026 text, so we do not describe what changed.
Large groups face another layer. For financial years starting on or after 1 January 2025, the UAE applies a Domestic Minimum Top-up Tax to members of multinational groups with global revenue of EUR 750 million or more in at least two of the four preceding years. Qualifying investment entities fall outside it. Families controlling large operating groups should check.
Singapore taxes companies at 17%. It has no capital gains tax, and its top resident personal rate is 24% on income above S$1 million. The 13O and 13U schemes exempt specified income of qualifying funds, subject to the conditions above.
What about personal tax, currency and residency for the principal?
For the individual, the UAE’s advantage is plain: the federal government states that the UAE “does not levy income tax on individuals”. For a family whose wealth is held in US dollars, the dirham’s peg (AED 3.6725 to USD 1 since February 2002) removes most currency risk.
Residency routes differ in kind. ICP’s Golden Residency gives a renewable 10-year residence without a sponsor to investors who hold at least AED 2,000,000 in a deposit with an investment fund or national bank, or as capital in a UAE company. The money must be the investor’s own and not borrowed. Real estate worth AED 2,000,000 also qualifies. Spouses, children and parents can be sponsored.
Singapore offers two paths. An Employment Pass (EP) needs a qualifying salary of S$5,600 a month, or S$6,200 in financial services, rising with age. New applications from 1 January 2027 rise to S$6,000 and S$6,600. The candidate must also pass COMPASS, MOM’s points-based framework. Permanent residence through EDB’s Global Investor Programme (GIP) Option C requires a Singapore single family office with at least S$200 million in assets under management. At least S$50 million of that must be transferred into Singapore and deployed in EDB-specified investments. The applicant needs net investible assets of S$200 million. The application fee is S$20,000 and processing takes about 12 months. Our sister site Singapore Employment Agency handles passes.

Which courts protect the structure if the family falls out?
Both hubs have specialist courts with international judges. ADGM’s courts apply English common law directly; Singapore’s courts apply Singapore’s own common law.
ADGM describes itself as the first jurisdiction in the Middle East to apply English common law directly, and its courts draw judges from senior common law benches. They also have jurisdiction over ADGM foundations. In Singapore, trust disputes go to the General Division of the High Court. The SICC, a division of that court set up in 2015, hears international commercial disputes and allows registered foreign lawyers to appear in some cases. Singapore’s long body of trust case law suits families with assets across Asia.
Which hub suits which family?
Choose by where the principal lives, what the family holds and how much substance it will run. A Gulf-based principal wanting no personal income tax, a statutory foundation and a low-cost office may prefer ADGM, if the free zone conditions can be met in practice. A family investing across Asia through private banks, or building a fund with outside professionals, may prefer Singapore. Some families use both, which makes joint planning of tax residence and Common Reporting Standard reporting essential (see our note on CRS 2.0 and CARF).
Frequently asked questions
What is the minimum wealth for an ADGM single family office?
ADGM’s family offices page lists minimum family net assets of USD 10 million. The Registration Authority consulted on new minimum requirements in 2024, so confirm the current figure and how it is measured before applying.
Does Singapore have foundations?
Singapore has no foundations statute like the ADGM Foundations Regulations 2017. Families use trusts with professional or private trust companies, companies limited by guarantee and VCCs to achieve similar results.
Will an ADGM foundation automatically pay no corporate tax?
No. A foundation with legal personality is taxable in its own right at first. It can apply to the FTA under Article 17 to be treated as transparent if it meets the conditions, or rely on Qualifying Free Zone Person status if it meets Article 18.
Does Singapore require minimum assets for a single family office?
The MAS class exemption conditions published for 15 June 2026 contain no minimum assets under management. The S$20 million and S$50 million minimums apply only to funds seeking 13O or 13U tax exemption.
