For a founder outside Singapore, choosing a VCC or an offshore fund should begin with the investor and management arrangements. A jurisdiction comparison based only on incorporation fees leaves out most of the operating decision.

Ask investors before choosing the vehicle

Find out whether likely investors have restrictions on legal form, domicile, reporting or service providers. An anchor investor’s internal approval process may matter more than a small cost difference.

Use a specific proposal when asking. “Would you invest in Singapore?” is less useful than showing the intended VCC, manager, strategy and offering terms.

Place the management activity accurately

Identify where investment decisions and oversight will occur. A Singapore address should not be used to disguise a different operating arrangement. Assess the licensing, governance and tax implications of the actual team locations.

Compare the complete lifecycle

Price launch, annual operations, investor changes and closure. Check bank and custody availability for the portfolio. Ask how a difficult valuation or investor dispute would be handled, including access to records and courts.

Keep the tax comparison investor-specific

The fund’s local treatment is only part of the picture. Foreign withholding, reporting and investor home-country rules can affect the outcome. Obtain advice on the actual ownership and asset flows.
