A VCC is a company designed for investment funds. A Singapore limited partnership, or LP, is a partnership with general and limited partners. The choice changes legal personality, liability and the way investor rights are documented.

Who enters contracts and bears liability?

The VCC is a separate legal entity. An LP is not. Its general partner has unlimited liability for the LP’s obligations; limited partners have a different liability position, subject to the applicable rules, including their role in management.

How will investors participate?

A VCC issues shares. An LP uses partnership interests governed by its partnership agreement. Investors may have a preference based on their own legal, tax or internal requirements.

For a private fund, ask how capital calls, defaults, distributions, voting and transfers will work in each form. Do not assume familiar partnership terms can be copied into a corporate constitution unchanged.

What will the manager need?

The VCC has a specific permissible-manager requirement. The LP form does not make fund-management or offering regulation disappear. Assess the activities and investor route for each proposal.

Treat tax as a separate comparison

Different legal forms can have different tax treatment and incentive routes. Request advice for the actual investors and investments rather than choosing a form from a headline exemption.

Compare the total operating arrangements: governance, administration, audit, tax reporting and eventual closure. If the proposed fund needs several segregated portfolios, examine whether the VCC umbrella structure addresses that need. The right answer should follow the fund’s commercial terms and investor requirements.
