Confirm the meeting route

Section 76A of the Variable Capital Companies Act is headed “Arrangements for meetings”. The current framework allows prescribed meetings to be held at a physical place, using virtual meeting technology, or using both, subject to the constitution and applicable requirements. Start by naming the meeting: annual general meeting, other general meeting, class meeting or another event. Then identify the calling authority, notice rule, entitlement date, quorum, proxy route, voting threshold and any class or sub-fund distinction in the constitution and governing documents.

Design the notice and access path

The notice pack should explain the meeting format, access method, identity steps, proxy process, question channel, voting method, document access, help contact and contingency plan in plain language. Avoid placing the only access credential in a forwarded group email. Issue credentials through a controlled path linked to the entitlement record and define how late replacements are approved. In a hybrid meeting, use one rule for recognising questions and votes so remote members are not treated as passive observers while people in the room receive a different decision channel.

Prove identity, quorum and participation

Build an attendance record from authenticated joins, approved proxies and any physical register; do not equate a platform display name with legal entitlement. The secretary should record admission decisions, duplicate connections, representatives of corporate members, departures that affect quorum and any participant moved to an alternative channel. The chair should test that members can hear, be heard where the procedure allows, submit questions and vote. A recording may help, but it does not replace a structured attendance, decision and exception record.

Control questions and voting

Prepare a question log that captures the question, relevant resolution, source channel, grouping decision, answer and any follow-up promised. Similar questions may be grouped, but the chair should be able to explain the grouping without filtering out a material challenge. For voting, reconcile eligible voting interests, proxies, abstentions, exclusions and platform totals to the resolution threshold. Keep the raw result export read-only and document any manual adjustment. If a material technology failure affects participation or voting, apply the announced contingency rather than improvising a silent extension.

Close the record and calendar

After the meeting, preserve the notice, delivery evidence, entitlement snapshot, proxy forms, attendance and event logs, question log, presentation materials, poll configuration, raw vote export, reconciliation, technology incidents, chair rulings, recording policy and approved minutes. Limit access because the pack can contain investor identities and voting data. ACRA states that VCC AGMs generally fall within six months after financial year end and that an approved extension adds 60 days; the current extension application fee is S$200. Calendar the meeting route early rather than treating virtual delivery as a cure for late preparation.

Frequently asked questions

Can every VCC general meeting be held fully online?

The current framework supports meetings using virtual meeting technology, but the team must check the meeting type, constitution and any applicable requirements. Do not assume the same route for every class, scheme or special resolution without reviewing its governing provisions.

Is a video recording enough evidence of the meeting?

No. A recording may support the record, but it does not by itself prove legal entitlement, proxy authority, quorum, complete question handling or accurate vote totals. Keep structured source records and reconcile them to the approved minutes.

How should corporate-member representatives be admitted?

Collect and validate the representative or proxy authority under the governing documents before counting the participant. Link the authenticated connection to the represented member and prevent duplicate voting where more than one device or attendee joins.

What if the voting platform fails during a resolution?

Use the contingency disclosed in the notice and meeting script. Record the failure, affected participants, chair decision, alternative channel and timing. If reliable participation or voting cannot be restored, the chair should use the available adjournment or other lawful route rather than guess the result.

Does a virtual format extend the AGM deadline?

No. The meeting format and filing calendar are separate. ACRA states the general VCC AGM deadline and provides an application route for an extension. Plan the technology and notice process within the applicable calendar instead of relying on online delivery to solve lateness.
