Classify the event before pausing the fund

Establish whether the event concerns temporary absence, resignation, termination, incapacity, misconduct allegation, regulatory restriction, system-access loss or a contractual key-person trigger. Identify the effective time and the source of the information. Do not repeat sensitive personal detail beyond what the decision requires. Then separate the individual from the appointed fund manager entity. ACRA states that every VCC must appoint one permissible fund manager. The entity may remain appointed and regulated even when one employee or director is unavailable. Conversely, an entity-level status change is more serious and belongs in the established manager-status-loss workflow.

Verify entity status and contractual triggers

Check the appointed manager name and unique entity number against the VCC's records, agreement and current MAS Financial Institutions Directory where applicable. Save the directory evidence and obtain the manager's written regulatory-status confirmation. Review the investment-management agreement, offering document, side letters, financing documents and committee terms for named-person, notice, suspension, replacement or investor-consent provisions. A contractual trigger can apply even if the manager entity remains permissible. A staff departure can also have no contractual consequence while still creating an operational capacity gap. Record both analyses rather than using the word key person as a conclusion.

Contain the affected authority and access

Build an impact map covering portfolio decisions, trade approvals, valuations, risk limits, cash instructions, investor communications, committee quorums, provider contacts, regulatory submissions and system credentials. Pause only the decisions for which no valid alternate exists, unless a wider stop is required for safety or law. Disable or preserve personal credentials according to the incident type; never let a successor use the departing person's account. Notify brokers, administrators, custodians and banks through verified channels when authority lists change. Keep an explicit log of pending trades, cash movements, valuation events and deadlines so the absence does not turn into invisible operational drift.

Test interim coverage before relying on it

Require the manager to identify the interim owner, reporting line, decision scope, qualifications, workload, conflicts, location, system access and end date. Test the most important live workflow: for example, an investment decision, valuation challenge, risk escalation or cash approval. Confirm that the substitute can obtain source information, apply the mandate, record judgement and issue an authorised instruction. A name on an organisation chart is not continuity evidence. If one person is proposed for several incompatible maker, checker and oversight roles, require a different design or enhanced independent review. The VCC board should understand residual risk and any activity that remains paused.

Update records and resume through evidence

Determine whether the event changes the appointed manager entity, a filed manager particular, a VCC officer, or only the manager's internal staffing. ACRA currently requires appointed manager and officer changes, and changes to their particulars, to be reported within fourteen days. Do not file an entity replacement merely because one employee changed, but do not overlook a real filed change. Reconcile the VCC register and provider authority lists, then complete contractual and investor notices. Resume normal activity only after the board receives status evidence, interim or permanent coverage, cleared access, completed filings or notices, open-item ownership and a test showing that the decision chain works.

Frequently asked questions

Does a key-person departure mean the VCC has no fund manager?

Not automatically. The VCC appoints a fund manager entity, and an individual departure may leave that entity appointed and permissible. Verify the entity's current status and the contractual role of the person. Escalate separately if the manager entity loses authorisation or can no longer meet the VCC requirement.

Should all trading stop immediately?

Pause activity whose authority, competence, access or contractual condition is no longer supported, plus any wider perimeter required for safety. Do not assume every workflow is affected. An impact map allows the board to preserve valid processes while holding decisions that depend on the unavailable person.

Can another employee simply use the key person's access?

No. The substitute should have individual credentials, appropriate limits, verified authority and an auditable approval path. Shared or inherited accounts obscure responsibility and can extend access beyond the interim mandate. Disable or preserve the former user's credentials according to the event and security process.

When must ACRA be updated?

ACRA states that changes to appointed VCC officers and managers, and changes to their particulars, must be reported within fourteen days. First determine whether the event changes the filed entity or person information at all. The manager's internal staffing change may instead require contractual or operational notices.

What evidence supports a return to normal operations?

Retain verified manager status, approved coverage, contractual notices, access records, completed filing analysis, provider acknowledgements, cleared open items and a live workflow test. The board decision should identify what resumed, any remaining conditions and the owner of permanent succession or remediation.
