Direct answer

Build one transfer-pricing register that starts with the legal VCC but identifies each affected sub-fund, related counterparty, transaction category, value, pricing method, contract, invoice trail, benefit evidence, documentation status and tax-return owner. Apply IRAS requirements to the actual taxpayer and transaction facts; do not assume an umbrella, common service provider, domestic counterparty or family relationship is automatically exempt from analysis or documentation.

At a glance

  • Map control and counterparties before deciding whether a transaction is related.
  • Treat each sub-fund as its own analysis population where the VCC tax framework requires it.
  • Separate the duty to price at arm length from the duty to prepare formal documentation.
  • Link contracts and invoices to functions, benefits, allocation keys and pricing evidence.
  • Use filing, request, retention and refresh triggers to keep the file operational.

Who this is for

  • Tax, finance and operations teams maintaining related-party transaction evidence for a standalone VCC or umbrella VCC.

Important exclusions

  • A conclusion that any transaction is exempt, arm length or eligible for a tax outcome without professional review of the complete facts.

Start with a relationship map

List the VCC, every sub-fund, shareholders, controlled investees, manager, family-office entities, administrators, advisers and other connected providers. For each counterparty, record direct and indirect ownership or control, common control and the source used to reach the relationship conclusion. IRAS explains how related parties of a VCC sub-fund are assessed, so a register that records only the umbrella name can miss the actual fund-level connection.

Separate pricing from documentation scope

The arm-length principle applies to related-party pricing, while formal transfer-pricing documentation has its own conditions and exemptions. IRAS currently states that specified taxpayers must prepare contemporaneous documentation and describes exemptions for certain transactions. Do not mark a row as no action merely because formal documentation is not required. Keep the commercial analysis, agreement, pricing basis and evidence that the VCC received or supplied value.

  1. Related and formally in scopePrepare the required group and entity information, transaction analysis, method, comparables and completion evidence by the applicable tax filing timetable.
  2. Related but exempt from formal documentationRecord the exact exemption analysis and retain enough commercial and pricing support to explain why the transaction remains arm length.
  3. Relationship uncertainDo not default to unrelated; obtain the ownership and control evidence and route the conclusion to the tax owner.
  4. Transaction population incompleteReconcile ledgers, balances, invoices and contracts before applying thresholds because an incomplete population invalidates the scope decision.

These points should be recorded as current source-backed rules, not copied into a permanent policy without a review trigger. Tax guidance and transaction facts can change. The register should show the source version, tax period, preparer, reviewer and next assessment event, while the public article does not expose private review metadata.

Build evidence by transaction type

  • For management or support services, retain the agreement, service description, personnel or work evidence, benefit analysis, cost pool, allocation key and mark-up support.
  • For related-party loans, retain purpose, principal, currency, term, benchmark, margin, repayment source, security, credit analysis and cash reconciliation.
  • For guarantees or cash-pooling arrangements, document accurately delineated functions, risks, capacity, beneficiaries and support for any fee or return.
  • For asset transfers, retain valuation, rights transferred, transaction date, accounting entries, legal documents and the pricing method chosen.
  • For shared umbrella costs, connect each allocation to the benefiting sub-fund and reconcile the policy, invoice, ledger and tax treatment.

Avoid using a single annual memo as a substitute for transaction evidence. A pricing method may be reasonable while the underlying cost pool is wrong, a service may exist while no benefit reaches the charged sub-fund, or a loan agreement may be complete while actual cash flows depart from it. The register should link analysis to operational records and flag deviations for correction before filing.

Reconcile to filing and governance

Before tax filing, reconcile the register to financial statements, related-party disclosures, tax computations and the VCC tax owner by sub-fund. Confirm that signed contracts, invoices, balances and actual conduct agree with the pricing narrative. Report material gaps to the appropriate directors and manager owners, but keep tax analysis distinct from investment approval and accounting sign-off. A complete register supports those processes without replacing them.

Use the VCC tax-incentive hub for the wider fund-tax context, the family and VCC records guide for entity separation, the management-fee invoice guide for service-charge evidence, and the sub-fund tax-provision guide for accounting reconciliation. Those pages provide adjacent controls while this reference remains the canonical owner for transfer-pricing documentation mapping.

Frequently asked questions

Does an umbrella VCC prepare only one relationship analysis?

Begin with the legal VCC, but identify the affected sub-fund for each transaction and apply the VCC tax framework to that population. One umbrella-level list without fund attribution can obscure control, value, balances and tax consequences.

Is formal documentation always required for a related-party transaction?

No. Formal documentation has conditions and exemptions, but the arm-length pricing analysis is a separate question. Record the precise scope conclusion and retain commercial, contractual and pricing support even when a formal file is not required.

Can a group transfer-pricing file be reused?

It may provide useful group information, but the Singapore VCC still needs transaction facts, functions, risks, method and evidence that accurately describe its own arrangements. Supplement any group file where the local or sub-fund analysis is missing.

What commonly breaks the evidence chain?

Typical gaps include contracts that do not match conduct, unsupported allocation keys, incomplete counterparty populations, missing service-benefit evidence, balances that do not reconcile and prior-year analyses reused after facts changed. The register should surface these before filing.

Who should own the register?

Assign one tax or finance owner for completeness and deadlines, with inputs from accounting, legal, the manager, administrators and family-office entities. Each conclusion should still have an accountable preparer and reviewer with access to the underlying evidence.
