Assemble the controlling terms
Collect the executed facility agreement, note terms, side letters, amendments, waiver letters, benchmark fallback language, borrower or agent notice and the prior approved reset. Build a term sheet that records the instrument, borrower, VCC sub-fund, currency, benchmark, observation approach, margin, floor, reset frequency, payment period, day-count convention, business-day treatment and effective date. Confirm whether a recent amendment changed only pricing or also changed principal, maturity, fees or covenants. Operations should not copy terms from a deal summary when the executed documents differ.

Reproduce the reset independently
Use an approved benchmark source and preserve the observation value with its date and publication evidence. Apply the contract method step by step, including the floor, margin, rounding and effective period. Keep the independent calculation separate from the borrower or agent file so it can challenge rather than repeat the notice. If the benchmark was unavailable or a fallback applied, escalate the contractual interpretation instead of silently substituting a convenient rate. Compare the result with the prior period and investigate changes that do not follow the benchmark, amendment or agreed economics.

Reconcile accrual and expected cash
A rate agreement does not finish the control. Recalculate the expected interest using the approved principal, accrual dates and day-count treatment, then compare the result with the fund administrator ledger, borrower schedule and cash forecast. Investigate partial repayments, capitalised interest, payment-in-kind terms, fees, non-accrual decisions and late cash separately because they can alter the amount without changing the headline rate. Keep a bridge from opening accrual through reset adjustment to expected receipt. Do not net an unexplained interest difference against another asset or period.

Assess valuation and credit consequences
Send the approved reset and any unresolved issue to the valuation and credit owners. A change in contractual income may affect model cash flows, but a rate increase does not automatically improve value if credit risk, payment capacity or market spreads deteriorated. Review whether the reset arose from ordinary mechanics, an amendment, a covenant event or a restructuring. If the borrower disputes the calculation or fails to pay, treat that as a separate credit and valuation signal. Record whether a valuation input, risk rating, watchlist status or investor disclosure needs attention.

Approve and retain a reproducible file
The final file should contain controlling documents, the input sheet, benchmark evidence, independent calculation, comparison with the notice, accrual bridge, cash forecast impact, valuation or credit escalation and named approvals. Restrict spreadsheet formulas and reference data from uncontrolled edits, and retain a read-only output for the period. Frequently asked questions
Can the VCC rely on the borrower or facility-agent notice?
Use the notice as evidence, but reproduce the result from the executed terms and approved benchmark source. Notices can contain input, date or amendment errors, and the VCC needs a reviewable basis for its own accounting and oversight.
What if the benchmark value is unavailable?
Apply only the fallback or alternative method supported by the governing documents and approved interpretation. Preserve evidence of the unavailability and escalation. Do not insert a nearby rate simply to complete the calculation before NAV.
Does the same rate prove the interest accrual is correct?
No. The accrual also depends on principal, dates, day-count treatment, repayments, capitalised interest, fees and any non-accrual decision. Reconcile the full amount, not only the headline rate.
When should valuation be involved?
Involve valuation when the reset changes model cash flows, reflects an amendment or restructuring, accompanies payment stress, creates a disputed amount or exposes stale assumptions. Contractual yield and fair value should be connected but assessed separately.
What should be retained for audit?
Keep the executed terms and amendments, benchmark evidence, input sheet, independent calculation, borrower comparison, accrual bridge, cash impact, valuation or credit assessment, exception resolution and approvals in a reproducible period file.
