Independent Singapore VCC guidance
Direct answer
Do not allocate a broken-deal invoice by convenience or by copying the economics of a transaction that never closed. First identify which VCC or sub-fund engaged the adviser, what each governing document permits, which vehicles actually participated before the deal stopped, and whether the manager must absorb any part. Build one allocation memo from contemporaneous evidence, approve conflicts before posting, and reconcile the final charge to invoices, commitments, investor disclosures and the correct sub-fund ledger.
At a glance
- Start with contractual responsibility, not the hoped-for investment allocation.
- Separate an interested manager from the approval of its own cost treatment.
- Do not charge a proposed co-investor that never became bound without clear authority.
- Reconcile invoice ownership, allocation logic, payment and NAV in one evidence chain.
Who this is for
- Private-equity and venture VCC structures that incur diligence, legal, advisory or travel costs on an abandoned transaction.
Important exclusions
- A universal accounting conclusion or a substitute for the fund documents, accounting policy and Singapore legal advice.
Freeze the facts before choosing an allocation key
A broken deal can leave invoices from lawyers, consultants, tax advisers, technical specialists and data-room providers. The first control is a fact pack, not a percentage. Record which entity signed each engagement, who instructed the work, the dates and purpose of the service, the opportunity name, the contemplated participants, and the point at which each participant became committed. For an umbrella VCC, identify the exact sub-fund that pursued the opportunity and keep the cost away from other pools unless a documented shared benefit and permitted allocation basis exist. The VCC framework depends on separate sub-fund assets, liabilities and records, while MAS expects effective oversight of delegated operating work. Those principles make a casual umbrella-level suspense posting a poor starting point.

- List every VCC sub-fund, parallel fund, co-investment vehicle and manager entity considered for participation.
- Record the last approved deal allocation before abandonment and distinguish it from an earlier indicative model.
- Identify deposits, retainers, refunds, break fees or recoveries that reduce the net cost to allocate.
- Lock the invoice population so late documents cannot enter the calculation without a controlled change.

Read the authority in the correct order
The allocation hierarchy should begin with the executed documents that govern the relevant pool. Read the constitution, offering document, investment-management agreement, expense policy, side letters, co-investment terms and the vendor engagement together. One document may say which expenses the fund can bear, while another reserves conflicts or related-party decisions for a board or committee. A proposed co-investment vehicle may have received diligence materials without ever accepting liability. Conversely, a committed parallel vehicle may be expressly included in an approved allocation policy. Current search results show that market approaches vary, which is precisely why the team should not import a general pro rata convention into a VCC without checking its own authority and disclosure.

|---|---|---|
| Vendor engagement | Who is legally billed and for what service? | Establish the starting obligor and invoice scope. |
| Fund documents | Which costs may the relevant pool bear? | Exclude costs outside permitted fund expenses. |
| Allocation policy | How are multiple participating vehicles treated? | Apply an approved and consistently used method. |
| Conflict process | Who can approve an allocation involving the manager? | Route the decision to an independent authority. |
| Investor disclosure | Would the result contradict communicated economics? | Escalate any mismatch before posting. |
Separate participation from potential benefit
A useful decision record distinguishes four states: a vehicle was never considered, was considered but not approved, was approved but not contractually committed, or was committed to participate. Potential benefit alone is too loose because nearly any fund in a platform might have benefited from a successful opportunity. Use documented investment-committee allocations, signed co-investment terms, mandate eligibility and actual diligence use to show participation. If the manager originated work for several funds before selecting one, identify whether the policy permits a pre-allocation pool and how that pool is cleared. If evidence conflicts, keep the cost in a controlled suspense account outside investor NAV until the responsible authority resolves it. Do not make a provisional investor charge permanent merely because a reporting deadline is close.

- Considered onlyDo not treat preliminary discussion as acceptance of a cost unless the governing documents clearly provide otherwise.
- Approved allocationTest the last authorised deal allocation and whether it remained effective when the cost was incurred.
- Committed participantApply the documented participation basis, then test conflicts, caps and any special co-investment terms.
- Evidence unresolvedHold the amount outside final NAV treatment and escalate rather than inventing a convenient percentage.

Build a reproducible cost schedule
The schedule should calculate from invoice line to final owner. Separate costs that relate only to the manager, only to the target, or to more than one investment pool. Net credit notes and refunds against the same cost family. For shared items, show the selected driver, why it matches documented participation, and how rounding is handled. Record excluded taxes or charges only after advice confirms their treatment; do not hide them inside a blended rate. Each line should link to the source invoice and approval, then roll to the general ledger and NAV pack. If the team changes the allocation key, preserve the superseded version and explain the trigger. That history lets directors, administrators and auditors reconstruct the outcome without relying on memory.

| Invoice and line item | Connect the posting to the service delivered. | Does the description match the abandoned opportunity? |
| Contracting entity | Identify the initial legal and operational owner. | Does it agree with the engagement and invoice? |
| Eligible participants | Limit the allocation population using controlled evidence. | Were all included vehicles authorised participants? |
| Allocation driver | Explain the split across eligible participants. | Is the driver permitted, consistent and reproducible? |
| Credits and recoveries | Reduce the gross expense by related amounts. | Were refunds returned using the same ownership logic? |
| Approval and posting | Join governance to the final ledger result. | Can the reviewer trace the amount into NAV? |

Resolve conflicts before the ledger entry
A conflict is likely when the manager benefits from moving a cost away from itself, when staff co-investment vehicles are treated differently, or when one sub-fund subsidises another opportunity pipeline. The decision maker should disclose the interest, step out where required by the governance framework, and provide the independent reviewer with the complete fact pack. Minutes should record the alternatives considered and the reason for the selected method, not merely state that an allocation was approved. If a historical policy was applied inconsistently, quantify the effect and assess whether prior investor reporting or NAV requires correction. Governance is not complete until the approved treatment is reflected identically by the manager, administrator and payment team.

Frequently asked questions
Should a broken-deal expense always follow the proposed investment allocation?
No. The proposed investment split is evidence, not an automatic rule. The team must first check the executed fund documents, expense policy, engagement terms, actual participants and conflict process. A vehicle that was merely considered may not have accepted liability, while a manager entity may need to retain costs that the fund is not authorised to bear.
Can a co-investment vehicle be charged if the transaction never closed?
Only if the relevant documents and facts support that result. Confirm that the vehicle existed, was an authorised participant and accepted the applicable expense treatment. If it remained a possible participant with no binding terms, charging it can create a governance and recoverability problem. Record the reasoning rather than assuming that expected upside creates expense liability.
What if the invoice is addressed only to the umbrella VCC?
The address does not end the analysis. Determine the service purpose, relevant sub-fund, contractual engagement and required sub-fund disclosures. Then obtain a corrected invoice when appropriate and post the expense to the controlled owner. Do not leave the charge at umbrella level merely because the vendor used a shortened billing name.
How should a late refund be handled?
Link the refund to the original allocation schedule and return it using the same ownership logic unless the governing documents require another treatment. Reconcile cash, receivable, expense and NAV effects, then document any difference caused by a closed period or investor movement. A late refund should not become general manager income or another sub-fund benefit by default.
What should directors receive before approving the allocation?
They should receive the invoice population, engagement evidence, participating-vehicle timeline, governing provisions, proposed and alternative calculations, conflict disclosures, administrator impact and any prior precedent. The paper should also identify unresolved facts. A short approval request without the calculation and authority is not enough for a decision that changes investor-borne costs.
