Independent Singapore VCC guidance
Direct answer
When a VCC valuation committee member has a personal, commercial or performance-related interest in the outcome, disclose and classify the conflict before valuation evidence is selected or debated. Follow the approved terms of reference for recusal, quorum and escalation. Independent members should control the evidence, challenge assumptions and record why the chosen value is fair and supportable. If the committee lacks sufficient independence, expertise or authority after recusal, escalate to the board or another approved decision route and hold the affected NAV output until governance is restored.
At a glance
- Identify conflicts before the committee shapes the evidence set.
- Separate factual input from participation in the final decision.
- Confirm quorum, authority and expertise after any recusal.
- Record alternatives, challenge and the reason for the final value.
- Escalate when independence cannot be demonstrated.
Who this is for
- VCC valuation decisions where a committee member, manager, adviser or provider may benefit from or influence the outcome.
Important exclusions
- A substitute for the VCC constitution, committee terms, accounting standards or case-specific legal advice.
Identify the conflict before the evidence set is fixed
Conflicts may arise from ownership, remuneration, carried interest, a related-party transaction, responsibility for the original investment, a provider relationship or pressure to avoid a NAV breach. Ask each participant to disclose interests for the specific asset and decision, not only through an annual declaration. Timing matters: a conflicted person can influence the outcome by choosing comparables or excluding adverse information before the formal vote. MAS fund-management guidance addresses conflicts, valuation and reporting, while the VCC governance circular expects effective governance and oversight. The chair should therefore classify the conflict and decide participation boundaries before papers are finalised.

- Tell the minute taker and paper owner how the restriction will be evidenced.
Decide what participation remains appropriate
Recusal is not always identical to silence. A conflicted portfolio specialist may hold factual information that independent members need, but that does not mean the person should frame the recommendation, select only favourable evidence or vote. Define whether the person may provide a written factual submission, answer questions for a limited period or leave entirely. Independent members should decide what additional evidence is needed and should meet without the conflicted person for deliberation. Avoid informal conversations after the meeting that bypass the recorded restriction. The decision record should show when the person entered and left and what information was provided.

- Factual input neededLimit participation to documented facts and exclude the person from recommendation and deliberation.
- Decision influence existsRequire recusal from papers, debate and vote, then verify that independent quorum still exists.
- Independence remains inadequateEscalate to the board or another pre-approved authority and hold release.
Rebuild the evidence pack under independent control
The independent paper owner should inventory every source used, including administrator calculations, pricing vendors, broker indications, transaction evidence, models, comparable assets, cash-flow assumptions and post-period events. Record source date, relevance and limitations. A conflicted proposal should not become the default simply because it arrived first. Ask what evidence would challenge the preferred result and whether the same method was used in prior periods. MAS risk practices support documented challenge and controls over material risk decisions. The committee should also understand how the value affects fees, performance, dealing, limits and investor reporting, because those effects can explain the incentive behind a conflict.

Test quorum authority and expertise after recusal
A decision can be well researched yet invalid under the committees own authority. Confirm the remaining members meet quorum and voting rules and have enough valuation, accounting and investment knowledge for the asset. If an alternate or external expert is permitted, document appointment, independence, scope and any reliance limits. An external opinion does not transfer the decision unless the governing framework says so. If the committee cannot act, identify the authorised escalation route before the NAV deadline creates pressure. The board or another body should receive the full conflict record and evidence, not a simplified recommendation stripped of the disputed assumptions.

Record a decision that survives later challenge
Minutes should identify the conflict, restriction, attendees, quorum, evidence, alternatives, questions, sensitivities, conclusion and dissent. Avoid minutes that merely state approved after discussion. The record should explain why the selected value was more supportable than reasonable alternatives and how limitations were treated. If the value differs from an administrator, vendor or prior period, preserve a bridge. Record any condition, monitoring trigger or future review date. The conflicted persons factual contribution should be distinguishable from the independent deliberation. This creates a usable decision trail for directors, auditors, regulators and later committees without implying that one source determined the result.

Frequently asked questions
Does every portfolio managers interest require full recusal?
Not automatically. Classify the specific interest and the influence it creates under the committee terms and conflict policy. A person may sometimes provide limited factual input while being excluded from recommendation, deliberation and voting. The boundaries should be decided before discussion and recorded precisely.
Can an external valuation expert make the final decision?
Only if the governing framework validly gives that expert the authority. More commonly, an expert supplies evidence or an opinion while the committee or board retains responsibility. Document appointment, independence, scope and limitations, then show how the authorised decision-maker challenged and used the work.
What if recusal leaves the committee without quorum?
Do not proceed as if quorum still exists. Use the pre-approved alternate or escalation route in the terms of reference. Provide the full conflict and evidence record to that authority. If no valid route is available before the deadline, hold the affected NAV output and obtain appropriate governance or legal advice.
Should the conflicted member receive the final minutes?
Access should follow the committees confidentiality and records rules, with sensitive deliberation protected where appropriate. The key control is that the record accurately separates factual participation from independent debate. Do not allow post-meeting edits by a conflicted person to reshape the rationale or remove recorded challenge.
When should the valuation be reconsidered?
Use the monitoring triggers approved with the decision, such as new transactions, cash flows, market evidence, covenant events or updated company information. A temporary assumption should have a named owner and review point. Reconsider sooner when new evidence undermines a material input or reveals that the conflict affected implementation.
