Independent Singapore VCC guidance
Direct answer
A private-credit VCC should calculate cash interest and payment-in-kind interest as separate controlled components, using the executed loan terms, approved rate inputs, day-count basis and effective dates. PIK accrual must be traced into the loan balance only when the contract permits capitalisation. Reconcile the calculation to borrower notices, cash receipts, the administrator ledger and valuation records. Any uncertainty about collectability, non-accrual status, amendment terms or fee treatment should remain a valuation exception until authorised owners resolve it.
At a glance
- Separate cash interest, PIK interest, fees and principal movements.
- Use contract terms and approved rate inputs, not a copied spreadsheet formula.
- Treat collectability and non-accrual questions as valuation decisions.
- Reconcile every accrual into the loan ledger and NAV evidence pack.
Who this is for
- Private-credit VCC portfolios with contractual cash-pay, payment-in-kind or toggle interest features.
Important exclusions
- Tax advice, borrower accounting, or a conclusion about recognition under a particular accounting standard.
Translate the loan terms into controlled fields
Start with the executed facility and all effective amendments. Extract the principal basis, cash margin, PIK margin, reference rate, floor, day-count convention, payment dates, capitalisation dates, default provisions, toggle mechanics and fee terms. Record who may elect PIK, what notice makes an election valid and whether it applies to the full coupon or only a component. Payment-in-kind interest generally increases the debt balance rather than producing immediate cash, but the exact mechanism is contractual. The administrator model should not be accepted until each input is mapped to a clause and effective date. MAS valuation and risk-management papers emphasise governed policies, reliable inputs, review and challenge, which are directly relevant when a non-cash accrual changes both income and asset value.

Calculate each economic component separately
Use a calculation that exposes rather than nets the components. Cash interest should roll to a receivable and then clear against settled cash. PIK interest should accumulate in its own field until the permitted capitalisation event, then move to principal without creating a cash receipt. Commitment, amendment, exit, monitoring or other fees need their own evidence and recognition policy. Keep rate inputs and calendars version-controlled. If the reference rate changes during the period, segment the calculation rather than applying one blended rate unless the contract expressly requires it. Round only at the approved stage and preserve the unrounded calculation. This design lets the reviewer see whether an apparent increase in principal came from funded cash, PIK, fees, foreign exchange or an unauthorised manual journal.

- Apply cash termsCalculate the cash-pay component using controlled rates, dates and the contractual day-count method.
- Apply PIK termsCalculate non-cash interest separately and confirm that any required election or condition is valid.
- Separate feesPost each fee according to its evidence and accounting policy instead of hiding it in coupon income.
- CapitaliseMove eligible accrued PIK into principal on the contractual event and preserve the full audit trail.
Work through a hypothetical PIK period
Consider a hypothetical loan whose controlled records show an opening principal, a cash-pay component, a PIK component and a separate monitoring fee. The objective is not to reuse a universal formula. The controller first confirms the applicable rate reset and valid PIK election for the period. Cash interest is accrued to a receivable and matched against any borrower payment. PIK is accrued separately, then added to principal only on the permitted capitalisation date. The monitoring fee is recorded under its own policy and is not added to principal unless the executed terms and accounting treatment support that result. The closing loan balance is then compared with the administrator, investment team and borrower statement, with every difference classified rather than forced to zero.

|---|---|---|
| Opening loan principal | Carry forward the last approved closing balance. | Prior NAV and loan ledger |
| Cash interest receivable | Accrue using the controlled cash-pay terms. | Facility, reset and day-count file |
| PIK interest accrued | Accrue the permitted non-cash component separately. | Facility and election evidence |
| PIK capitalised | Transfer eligible accrual into principal on the effective event. | Capitalisation clause and notice |
| Fees | Record outside coupon and principal unless authority says otherwise. | Fee letter, invoice and policy |
| Closing balance | Reconcile principal, receivable, cash and income to NAV. | Administrator and reviewer pack |
Challenge collectability and non-accrual status
A correct formula does not prove that the recorded amount is recoverable. Review payment history, covenant status, liquidity forecasts, amendment requests, sponsor support, collateral information and valuation evidence. A borrower using a permitted toggle is not automatically impaired, but a change in payment behaviour can be a risk signal that deserves documented challenge. The investment team should not control the conclusion alone when its performance is affected by continued accrual. Route non-accrual, reversal, impairment and fair-value questions through the approved valuation governance process. If evidence is incomplete, quantify the exposure and keep the issue visible. Do not continue compounding PIK merely because the spreadsheet produces a number; the valuation pack must explain the judgment supporting the carrying amount.

- Election unclearHold the disputed PIK movement outside final principal until valid contractual evidence is obtained.
- Payment deteriorationEscalate collectability, non-accrual and valuation consequences through the approved independent challenge process.
- Amendment pendingUse the legally effective terms and identify any proposed change separately from current accounting inputs.
- Evidence staleApply the valuation exception process and do not rely on an unchanged prior-period conclusion.

Reconcile administrator, borrower and bank evidence
The administrator ledger, internal loan model and borrower statement should agree by component, not only in total. Match opening principal, new advances, cash interest, cash receipts, PIK accrual, PIK capitalisation, fees, repayments and closing principal. Reconcile cash-pay interest to the bank and investigate timing differences separately. If the borrower statement combines cash and PIK, request or construct a supported bridge. Confirm that the administrator did not capitalise accrued PIK early or leave capitalised PIK in receivables. Review manual journals, especially round-number adjustments and entries posted after the NAV review cut-off. Every unresolved item should have an owner, monetary exposure, effect on NAV and planned resolution date.

- Match cash interest received to bank settlement and clear the correct receivable.
- Compare PIK accrual and capitalisation dates with the executed contractual mechanics.
- Reconcile fees and repayments without netting them into an unexplained principal movement.
- List every difference with ownership, valuation effect, evidence gap and escalation status.

Frequently asked questions
Is PIK interest the same as cash interest receivable?
No. Cash interest is expected to settle in cash under the payment terms, while PIK interest is a non-cash amount that may be capitalised into the debt balance when the contract permits. Track them separately so cash collection, principal accretion, income and valuation can each be reviewed without netting.
Should accrued PIK be added to principal every day?
The calculation may accrue over time, but the move into principal should follow the contractual capitalisation mechanics and approved accounting policy. Keep accrued and capitalised amounts distinct until the effective event. Adding PIK to principal too early can distort both compounding and the reconciliation with borrower and administrator records.
Does a borrower choosing PIK mean the loan is impaired?
Not automatically. The choice may be permitted by the original terms. Even so, the team should reassess payment behaviour, covenant status, forecasts, collateral and collectability using current evidence. The decision to continue accrual and the valuation conclusion should pass through the approved governance process rather than follow a simple toggle flag.
How should amendment fees be handled?
Read the executed amendment and fee letter, then apply the VCC accounting policy and valuation process. Do not assume every fee is immediate income or part of principal. Record the fee separately, identify settlement and effective dates, and show how it affects receivables, cash, carrying value and the loan roll-forward.
What is the strongest control over a PIK spreadsheet?
Use a controlled term sheet mapped to executed clauses, locked rate inputs, version history, independent reperformance and a component-level reconciliation with administrator, borrower and bank evidence. A formula check alone is insufficient because the main risks include wrong terms, invalid elections, premature capitalisation and unsupported collectability judgments.
