Resolve a Shadow-NAV Difference With an Administrator

Independent Singapore VCC guidance

By Variable Capital Companies Actdecision guide

Direct answer

Treat the shadow NAV as a challenge tool, not an alternative official price. Freeze both calculations, confirm they cover the same VCC, sub-fund, class, valuation point and accounting population, then bridge the difference into named components. For each component, identify the authoritative contract, trade, price, cash, fee, FX, share or ledger evidence and approve corrections in the system that is actually wrong. Release the administrator NAV only when material differences are resolved or governed under an explicit exception decision, with downstream investor and reporting effects assessed.

At a glance

  • Align scope and valuation point before comparing totals.
  • Bridge differences into evidence-based components rather than debating one headline amount.
  • Correct the wrong source system and preserve both original calculations.
  • Do not let a shadow process become an ungoverned second accounting book.

Who this is for

  • VCC managers or directors using an internal, outsourced or parallel calculation to oversee an administrator NAV.

Important exclusions

  • A decision to replace the appointed administrator or a formal historical NAV-error remediation, which needs its own governance process.

Confirm that the calculations are comparable

Before investigating amounts, confirm identity and scope. Both calculations should refer to the same legal VCC, sub-fund, class, valuation point, base currency, accounting policy, dealing population and source cut-off. Compare whether each includes unsettled trades, accrued income, expenses, subscriptions, redemptions and class-level allocations on the same basis. A difference caused by unlike scope is still useful, but it is not evidence that one NAV is wrong. Record the configuration and source timestamps so later reruns do not quietly change the comparison population.

  • Match the legal entity, sub-fund, class and valuation point represented by both calculations.
  • Compare base currency, FX sources, pricing hierarchy, accounting policies and data cut-offs.
  • Confirm the treatment of pending trades, capital activity, accruals, corporate actions and unsettled cash.
  • Freeze both original outputs and their input extracts before any correction or rerun occurs.

Bridge the difference into components

Move from the headline NAV difference to a complete bridge. Separate positions, security prices, model values, accrued income, cash, unsettled trades, expenses, fees, tax items, FX translation, capital activity and shares in issue. Continue until every component has a defined source and owner. Avoid netting unrelated items simply because they offset in the total. A price difference and an omitted expense may produce a small net result while each control failure remains material to a different process. The bridge should reconcile back to both original calculations exactly.

Identify the authoritative evidence

The shadow calculation is not automatically right because it is independent, and the administrator is not automatically right because it is appointed. For each component, identify the governing contract, approved policy or independently originated evidence. A broker execution can establish trade economics; a bank or custodian record can establish cash or position status; an approved pricing hierarchy can establish the selected source; fund documents and accepted dealing records can establish capital treatment. If evidence conflicts, route the question to the accountable authority instead of choosing the system that creates the preferred outcome.

Classify the difference before correction

Classify each component as timing, scope, source, policy, calculation, mapping, booking or unexplained. Timing items may reverse through normal processing but still need a documented release view. Source or policy differences need the approved hierarchy or interpretation. Calculation and mapping failures may affect a broader population. Booking errors need controlled correction in the affected ledger. An unexplained item remains open even if it is small. The classification should show whether investor dealing, financial reporting, regulatory reporting, fee calculation or sub-fund allocation could be affected.

  2. Source or policy differenceApply the approved hierarchy or decision authority and retain the reason one treatment controls.
  3. Booking or calculation errorApprove a visible correction in the wrong system and rerun all affected outputs.
  4. Unexplained differenceKeep the item open, escalate its potential effect and do not hide it inside a tolerance.

Choose the system that needs correction

Correct the source that is wrong, not whichever system is easier to edit. If the administrator missed an authorised trade, repair the administrator book through its controlled lifecycle. If the shadow model used an obsolete price or fee term, correct the shadow input and record why the administrator result was retained. If both systems depend on a faulty master record, repair that upstream source and rerun both. Preserve the original outputs, approved correction, production readback and revised bridge. A manual override without upstream repair can make the current NAV pass while leaving the defect ready to recur.

  • Identify the faulty source, record or rule and document why the competing treatment is authoritative.
  • Use authorised correction paths that retain the original entry, approval and effective date.
  • Rerun both calculations from controlled inputs and rebuild the bridge rather than adjusting the total manually.
  • Search for other funds, classes, instruments or periods exposed to the same root cause.

Make the NAV release decision

The release decision should consider the unresolved amount, its cause, which investors or classes may be affected, whether subscriptions or redemptions use the price, and whether the issue points to a wider control failure. Apply the VCC policy and fund documents rather than an informal materiality habit. Record who decided, what evidence was available, what correction or compensating control was applied and which downstream outputs remain blocked. MoneySense explains that unit prices derive from the fund value and units outstanding; both sides of that calculation need controlled support before investor prices are released.

Close provider actions and prevent recurrence

After release, convert root causes into owned actions. Update data mappings, price hierarchies, fee terms, cut-offs, interface controls or review responsibilities as needed. Agree how the administrator will evidence its fix and how the VCC manager will test effectiveness. If the shadow process identified a repeated provider weakness, use contract oversight, control reports or audit rights proportionately. If the shadow process itself caused noise, refine its scope and documentation rather than abandoning independent challenge. Closure should include a later sample or cycle showing that the same difference does not recur.

Keep the shadow process governed as a control, with defined purpose, source ownership, change management, access, review frequency and retention. It should support challenge and accountability, not become an unofficial ledger that accumulates unexplained manual adjustments. Periodically confirm that it still covers the risks for which it was designed and that operators understand when a difference is a scope choice, a timing event or evidence of an error. This turns parallel calculation into useful oversight rather than duplicated processing.

Frequently asked questions

Is the shadow NAV an official investor price?

Normally it is an oversight or challenge calculation, not the released price. Its authority depends on the documented operating model. Treat it as evidence that can identify differences, then resolve those differences through the approved valuation and accounting process.

Can a small difference be closed under tolerance?

A tolerance can route investigation, but it should not hide an unknown cause. A small net amount can contain offsetting errors or reveal a wider mapping defect. Classify the difference and document the authorised disposition before closure.

What if the administrator and shadow team use different policies?

Identify which policy is approved for the VCC and valuation point, then determine whether the difference is legitimate scope or a control failure. Update the incorrect implementation and retain the interpretation and approval so the disagreement does not recur.

Should both calculations be adjusted to make them agree?

No. Correct only the source, method or booking that is wrong, then rerun from controlled inputs. Adjusting both totals without authoritative evidence can erase the diagnostic value of the shadow process and preserve the underlying defect.

When should provider audit rights be considered?

Use them proportionately when recurring or material differences suggest that ordinary evidence, service reviews and remediation have not established control effectiveness. Define the scope around the specific process, data, period and open actions rather than launching an unfocused review.
