Apply the Updated ACRA VCC Offence Checklist

Independent Singapore VCC guidance

By Variable Capital Companies Actregulatory update

Direct answer

ACRA's common-offence page, updated on 14 October 2026, should trigger a focused VCC compliance review rather than a policy-only acknowledgement. Confirm the financial year end, AGM position, annual-return status, officer and office changes, registered-office availability, and the VCC name and registration number on required business documents. For each duty, identify the accountable officer, filing or operational owner, due-event source and completion evidence. Escalate any missed or uncertain item immediately, preserve the facts, and obtain professional advice on correction instead of backdating records.

At a glance

  • Use the ACRA update as an evidence review trigger.
  • Tie every obligation to an event source and named owner.
  • Check physical and document controls, not only portal filings.
  • Correct gaps transparently without rewriting history.

Who this is for

  • Singapore VCC directors, secretaries, managers and compliance owners reviewing ACRA corporate obligations.

Important exclusions

  • A complete statement of every VCC legal duty, tax filing, MAS obligation or advice on a specific offence or penalty.

Start with the events that create obligations

Build the review from authoritative events rather than a static annual checklist. Capture the VCC financial year end, AGM decision and date, annual-return filing, every appointment or cessation of a director, manager, secretary or auditor, changes to personal particulars, sub-fund details, VCC type, registered-office address or hours, and changes to document templates or payment stationery. Compare those events with board records, provider tickets, the VCC portal and issued documents. The purpose is to detect an obligation that arose but never reached the filing or operations owner.

Check recurring dates from one controlled calendar

ACRA states that, unless exempted, a VCC should hold its AGM within six months after financial year end and file its annual return within seven months after financial year end. For an umbrella VCC, the filing process also needs the separate accounts, assets and liabilities of each sub-fund. Build the dates from the approved financial year end and keep evidence for any exemption or change. A reminder is not completion evidence. Preserve the approved accounts, AGM or exemption record, submission package, portal receipt, status readback and any correction or rejection message.

  • Financial year end matches the current ACRA record and governing documents.
  • AGM requirement or exemption position is documented by the proper authority.
  • Accounts and sub-fund information are available early enough for review and filing.
  • Annual-return preparer, checker and authorised filer are named and have access.
  • Portal submission receipt and final status are stored with the exact filing package.
  • Rejected, corrected or late items remain visible until the authoritative record is clear.

Test officer and registered-office changes

ACRA's guidance states that changes to key officers and specified VCC information should be notified within 14 days. Compare board and provider records with the portal, electronic registers and actual operating state. Include appointments, resignations, changes of particulars and any period when a required role may have been vacant. Then test the registered office. The address and stated hours should match the public record, the office should be accessible as required, and staff or the service provider should be able to receive and route communications and notices. A forwarding address without tested handling is not a complete control.

  1. Change identifiedThe board, officer, secretary or service provider records the event and effective date in the controlled intake.
  2. Duty assessedThe owner identifies the affected filing, register, consent, office or document requirement and starts the due-date record.
  3. Information checkedNames, identifiers, addresses, dates, approvals and supporting records are independently compared before submission.
  4. Update submittedThe authorised filer uses the VCC portal or applicable route and preserves the exact filing package and receipt.
  5. Record confirmedThe team reads back the official status, updates internal registers and resolves any mismatch or rejection.

Inspect documents that leave the VCC

ACRA highlights the need to display the VCC name and registration number on specified business documents. Sample documents actually issued by the VCC or on its behalf, including business letters, statements of account, invoices, official notices and publications. Extend the sample to provider-generated documents, email templates, investor statements and payment instructions where relevant. Confirm that umbrella and sub-fund identities are not confused. Control the template library, but also search recent outputs because local copies, manual spreadsheets and provider formats can survive after a template is corrected.

  • Current legal VCC name and registration number appear on each applicable document type.
  • Sub-fund documents use the correct sub-fund identity and do not imply separate legal personality.
  • Provider and staff templates come from one controlled library with owners and version dates.
  • Retired templates, stationery and payment forms are removed from ordinary access.
  • A sample of issued outputs is reviewed, not only the blank master template.
  • Defects are traced to affected recipients, periods and transactions for correction assessment.

Record and correct gaps without backdating

  1. Evidence confirms complianceClose the item with the official readback, issued-document sample or other evidence linked to the obligation and event.
  2. Evidence is incompleteKeep the item open, reconstruct the facts from authoritative records and obtain missing confirmation before concluding.
  3. Deadline may have been missedEscalate promptly to the secretary, directors and advisers, preserve the true dates and assess the corrective filing route.
  4. Portal and internal records differTreat the ACRA readback as a reconciliation exception and resolve which record or filing requires correction.
  5. Document defect is recurringContain the template, identify affected outputs, correct the source process and test newly issued documents.

Frequently asked questions

Does the ACRA page replace the VCC Act or professional advice?

No. It is practical official guidance on common offences. Use the current legislation, the VCC's facts and professional advice for a specific legal interpretation, missed duty, penalty exposure or corrective filing.

Is an annual calendar enough to manage these duties?

No. The calendar should be driven by authoritative events and closed with evidence. Officer, office and document changes can occur outside the annual cycle, while filing dates depend on the current financial year end and AGM position.

What should count as annual-return completion evidence?

Keep the exact submission package, portal receipt, official status readback and any correction or rejection history. A provider acknowledgement or prepared draft shows progress but does not by itself establish the final filing state.

Should an umbrella VCC review each sub-fund?

Yes, where the duty or document applies at sub-fund level. ACRA notes that annual-return information includes separate sub-fund accounts, assets and liabilities, and operational documents should preserve the correct sub-fund identity.

What if the team discovers a historical gap?

Preserve the actual dates and evidence, stop any continuing defect, escalate to the proper officers and advisers, and use the available corrective route. Do not backdate minutes, registers, filings or template versions.
