Name reservation and the constitution solve different problems. The name identifies the VCC; the constitution governs how it operates. An approved name does not confirm that the fund documents or business model are ready.

Before reserving the name

Check the proposed spelling, any sensitive or regulated wording, and whether the name creates confusion with another business. Name approval should not be treated as trade mark clearance. If the brand matters commercially, obtain the appropriate separate checks.

Use ACRA’s name-reservation guidance for the current procedure and validity period. Confirm the final name before circulating documents for signature.

Give the drafter commercial instructions

The constitution needs decisions about the VCC form, share rights, subscriptions, redemptions, distributions and governance. For an umbrella, it also needs to support the proposed sub-fund arrangements.

Prepare those decisions in a short term sheet. A precedent cannot decide whether an investor may withdraw monthly from an illiquid portfolio, or who may approve a suspension.

Read the documents together

Compare the constitution with the offering memorandum, subscription agreement and management agreement. Look for inconsistent dealing dates, notice periods, valuation powers and voting thresholds. Ask the administrator to confirm that the terms can be implemented.

Check the signature version

Verify the legal name, parties, definitions, cross-references and approved commercial terms. Remove drafting notes and unresolved alternatives. Keep a version-controlled copy of the approved documents with the incorporation submission.
