Define the identity standard

An umbrella VCC is the corporate vehicle, while its registered sub-funds have separately attributed assets and liabilities. The pack should therefore start with a controlled identity card: exact umbrella name and UEN, exact sub-fund name and number, registered address, manager, authorised signatories, administrator code and the internal ledger or portfolio code. Pull the legal identifiers from current records and make the identity card read-only for deal teams. Nicknames may help internally but should never displace the approved legal and operational description.

The pack is not a duplicate document room. It is an index to the minimum evidence needed to prove who the counterparty is, which asset pool bears the rights and obligations, who approved the transaction, where cash moves and how the administrator records it. Assign one record owner and require links to controlled originals. This prevents a deal team from circulating a convenient PDF while finance and administration rely on different names or schedules.

Connect money movement and accounting

A correctly drafted contract can still fail operationally if invoices use the umbrella only, payments leave the wrong account or the administrator posts the expense to another sub-fund. Create a three-way match between the contract pack, verified settlement instruction and ledger coding. For shared services, use the approved expense-allocation policy and preserve the calculation instead of forcing the charge into the sub-fund named on the vendor invoice. Require callback or equivalent authentication for new or changed payment instructions.

What if a vendor invoice names only the umbrella VCC?

Who should own the counterparty pack?

Assign one operational record owner, with defined reviews by legal, the company secretary or governance team, finance and the administrator. Ownership means maintaining the index and chasing exceptions; it does not replace each specialist's responsibility for their part of the review.

When should the pack be reopened?

Reopen it for contract amendments, new bank or custody instructions, ownership or address changes, new signatories, a different sub-fund, material service changes or termination. A periodic review should also confirm that recurring records still match the approved identity and ledger setup.
