Define the exact change perimeter
Begin with a written perimeter: identify whether the board is changing the umbrella VCC name, one registered sub-fund name, or both. List every place where that exact legal name is used, including the constitution, offering documents, subscription materials, investment-management agreement, administration agreement, custody or banking mandate, tax correspondence, invoices, investor reports and counterparty master data. The registered number remains the continuity key, so put it beside both the old and proposed names on the internal change register.

Approve before anyone starts using the new name
Read the VCC constitution and the affected contracts before drafting resolutions. The legal approval route depends on those documents and the nature of the change; the portal filing does not replace internal corporate action. The secretary should prepare one decision paper that shows the proposed name, availability or referral dependencies, affected sub-funds, investor-communication plan, document list and proposed effective-date convention. Record who may authorise the filing and who may approve the downstream release pack.

ACRA directs VCC information changes through the dedicated VCC Portal. Its current guidance lists a S$15 fee for a VCC or sub-fund name change. A VCC name update is to be made within 14 days, while a sub-fund name update is listed with a one-working-day window. ACRA also notes that a sub-fund name update does not require a separate Notice of Resolution. Because the portal warns that combined changes can fail, file unrelated updates as separate transactions and preserve each acknowledgement.

Do not ask every provider to improvise its own effective date. Issue a short change notice that states the old name, new name, unchanged UEN, affected sub-fund number where relevant, registry effective date, permitted transition wording and contact for discrepancies. Prioritise records that can block cash or trading: bank and custody accounts, payment templates, settlement instructions, authorised signatory records, administrator security masters and KYC files. Close the change with evidence
The project is complete only when the registry, legal record and operating stack agree. Obtain the appropriate official information product, verify the VCC name against the UEN, and sample critical counterparties rather than accepting email confirmation alone. Check that no invoice, payment instruction, investor statement or executed agreement has accidentally moved a sub-fund name into the umbrella field or vice versa. Keep an exception log for systems that retain the former name and define when historical naming is acceptable.

Does a VCC receive a new UEN when its name changes?

Which external record should be updated first?

Should old documents be overwritten with the new name?
